Non Profit Question and Answer Session with Kevin Rubel

According to Kevin Rubel, a non-profit organization is a Corporation whose primary motive is to benefit the public and not generate any profits. More importantly, a non-profit organization may not allocate income to any of its directors or managers. Further, a Nonprofit Corporation is not just another business and should not be used as a substitute structure for a business whose chief aim is to make money.
Is Tax Exempt the same as “Nonprofit”?
Definitely not says Kevin Rubel. Even though one may be enlisted as Nonprofit Corporation, it does not automatically mean one is not tax exempt from the Federal Income Tax. In some cases, even local state taxes have to be paid.

Kevin Rubel defines a “tax-exempt” Corporation as an entirely separate structure that has earned an exemption from income tax liability. A Nonprofit Corporation, on the other hand, is almost never automatically eligible for exemption from income tax liability until an application has been made and approved by the IRS.

Are there rules as to how many Directors a Non Profit Organizations should have? Yes, says Kevin Rubel. The rules vary from state to state. Most States require Nonprofit Corporations to have a minimum of three directors. However, some states do allow for less than three directors. A handful of states also allow for only director. So, Kevin Rubel points out that Non Profit Corporations should check out the rules pertaining to their State before determining the number of Directors to be appointed.
Is a Non Profit Corporation allowed to pay any money to its Directors? Yes, says Kevin Rubel, a Nonprofit Corporation may pay some compensation to its officers, directors, and/or employees. However, it is vital that the compensation be paid only for services rendered to the Nonprofit Corporation.

For those who ask Kevin Rubel “Are there rules where one can form a non-profit corporation?” he advices: “In general, there are no rules where one can establish a non-profit corporation. However, one has to be practical. There is no point in establishing a non-profit firm in Alaska and live in New York City. Remember, non-profit does not mean that you do not have to pay state fees and taxes- so it is important to work out of the same state. Further, if your directors and officers all live in one state, it is better to establish the corporation in the same state.”

Kevin Rubel further says: “What most people forget is that establishing any business in another state means firstly, you have to qualify to be allowed to do business in another state and secondly you are subjected to taxes in the state where you are incorporated and the state where you conducting your business. Similarly, the chances of a lawsuit are also doubled”.

Getting down to details, Kevin Rubel advices Non Profit Corporations to choose a name that reflects the intent of the Coporation. In general, there are no rules about the kind of names that can be selected by Non Profit Corporations. “However, the name you choose should reflect your motivation” says Kevin Rubel. There is no point in choosing a name that reflects money and profits. Kevin Rubel agrees further that it is important to search for a name that is not deceptively similar to another established entity. Moreover it is advisable to include the words Inc., at the end of the business name selected.

Next in consideration is the question, “How does one establish a non-profit corporation?” While some companies can help you file an application online, it is only the first step in the right direction. Most financial offices or people like Kevin Rubel can help you with this task. Individuals like Kevin Rubel know the requirements, forms, and required language. It is best to leave the filing to a professional.

It follows that if you are looking to set up a Non Profit Corporation, it would be in your own interests to approach people like Kevin Rubel and take advantage of their vast knowledge and experience in the field.

Cowboy Bebop - Review

Cowboy Bebop showcases phenomenal jazz music and exquisitely detailed animation that perfectly captures the mean streets and spaceways of a future world that’s simultaneously strange and familiar, with technology that’s grungy and realistic. It is perfectly believable and you never question the outlandish scenario’s that Spike gets himself into. The basic synopsis breaks down as such: It’s the future and mankind has developed space gates that allow easy travel in the solar system. Earth is devastated when a hyperspace gate near the moon explodes which forces survivors to move underground. Society has broken down, the police are unable to keep order, and bounty hunters capture criminals to earn bounties. We follow the bounty hunters.

We follow these characters though 26 episodes which range from serious to slapstick, from sci-fi to western. Cowboy Bebop excels in all aspects with fast-paced and engaging storytelling, memorable characters, and a soundtrack unlike any other. The characters of Bebop include some of the most beloved in anime history. The compelling characters at the helm make you interested in their dreams and situations.

Well over 10+ years later Cowboy Bebop is still the standard as how you make a truly awesome anime series. When this came out, the animation was top notch. But what most impressed me about Cowboy Bebop’s animation was the variety of locals, and the lived in natures of every environment that is visited. Cowboy Bebop also presents a realistic view of the future. Spike and Jet travel in what to us would be a highly sophisticated craft, but to them is the modern day equivalent of a 1976 El Camino. The concept of Cowboy Bebop is not original, but its execution is outstanding. The characters are not original, but how they interact with the world around them is.

Finally we have the last few episodes leading to the ending. I won’t give anything away to the people who unfortunately haven’t seen this series, just it will blow you away. A stereotype of anime is that the English voices are never good. However, that is not the case here. Spike’s calm, cool, and collected voice fits perfectly with his character. There are plenty of serious moments and totally hilarious moments to be had while watching Cowboy Bebop. The series is mainly episodic, but does have a strong storyline that unfolds during the series.

Some people may not like it because of the loose connections between many of the episodes, or because they were put off by an episode, but that’s what made the show great. It’s following a randomly thrown together group of misfits on their sometimes wacky, sometimes sad, sometime’s boring adventures in space while exploring the characters little by little and coming to a good, though somewhat open ending. is a must watch for anime fans as well as those who love a great story. The best thing about this series is it is not your typical anime. The characters don’t have special abilities or powers; they don’t fight demons; they don’t save the world on a regular basis; they live day to day, trying to survive their environment. Few things in life are so entertaining and fresh as this show.

Figma Ein - Requiem for Phantom

Eventthough the anime has lost all it’s credibility because of it’s stupid ending (for me), Ein is still a cutie, PERIOD. I’m quite good at forcing my opinion, so, don’t start any argument XD

Anyhow, I believe some of you have taken quite a liking to Ein, or Elen, whoever you want to call it. Being a silent short-haired cutesy with good proficiency at guns, sniper rifles, and even knives, I say that’s normal ^_^ Ah, and I’m a sucker for short-haired cuties…

As for this delicious figures, it will come with a revolver, a knife and a head part wearing the Phantom Mask. Love the revolver, what could Ein be without her trusted revolver, and knife XD. Judging from this pics, I think it safe to say that we’re bound to have the usual quality that Figma usually delivers, which is a good thing. As long it doesn’t follow in L*S series’ footsteps, it will be just fine XD

Fall is now officially here and with that came new goodies from GSC in the line of FIGMA. Presenting Figma Ein from Nitro+’s series “Phantom for the Requiem & some Di:Stage Add-ons known as “Clear Case”.

From Nitroplus’ 10th anniversary project, the anime version of ‘Phantom ~Requiem for the Phantom~’ comes a figma of the ultimate assassin, Ein – codenamed ‘Phantom’. She will retail come the first month of 2010 with a retail price of 2,500 Japanese Yen.

Moving along is the Di: Stage Add-on which is known as “Clear Case”. Collectors are always in a never ending quest for cases and shelves to store their precious items and keeping off the dust to prevent damaging their items.

Phantom ~ Requiem for the Phantom

Un jeune touriste japonais amnésique, parti en voyage aux États-Unis, se retrouve enfermé au milieu d’un entrepôt dans le désert. Dans cet entrepôt lugubre, une jeune femme masquée prénommée “Phantom” tente de le tuer. Le jeune homme, alors appelé Zwei par son ennemie, arrive à déjouer les plans du Phantom grâce à sa volonté de survivre… Phantom est dirigée par une organisation mafieuse “Inferno“…

Phantom est un peu l’anime que je cherchais depuis un bon moment et mon seul coup de coeur du moment (en même temps, je ne regarde plus beaucoup d’animes).

Une fois n’est pas coutume, je vais commencer par la suite et en particulier les deux chansons de Kokia (le premier opening et le second ending). Si j’en parle dès le début, c’est parce que ces deux chansons sont tout simplement merveilleuses, en accord parfait avec l’atmosphère de l’anime et peuvent le résumer à elles seules. Mélancoliques, dramatiques, tristes, tout pour plaire. Mêmes les clips sont réussis et pas seulement des successions d’images sans queue ni tête. Rares sont les musiques que j’apprécie à ce point alors ca méritait bien une place d’honneur ^^ Je vous renvoie à cet article pour voir les deux musiques dont je parle:

L’histoire débute très bien, posant de bonnes bases qui tiennent la route et qui maintiennent le spectateur en haleine jusqu’à la fin. Le scénario entier tourne autour des deux héros, en particulier de Zwei dont on suit l’évolution dans un milieu peu commun mais aussi l’évolution de ses propres sentiments sur ce qu’il fait et sur les gens qui l’entourent. Pour éviter que l’anime ne vire dans le mélodramatique, il y a Ein, sorte de catalyseur qui le maintient dans une sorte de cercle vicieux. Ein et Zwei forment un duo efficace et complémentaire car chacun apprend quelque chose à l’autre. Les Phantom ne tournent pas autour d’autres personnages, ce sont bien les autres personnages qui tournent autour. Ein et Zwei sont des centres de gravité mais finissent par se perdre dans un rôle qui leur imposé, malgré leur efficacité. Zwei est celui qui se bat le plus longtemps contre ce karma car Ein n’a pas la volonté de le faire, en partie pour ne pas faire face à son passé.

La fin ne joue pas de mauvais tour et suit logiquement le scénario. Elle est en accord parfait avec le vœu de Zwei qui est de rendre le sourire à Ein, quoiqu’il lui en coute, en faisant face à son passé et son présent, toujours dans l’optique de protéger Ein. Je peux difficilement parler de la fin car il y a bon nombres d’éléments que je ne peux même pas citer et qui apparaissent au fur et à mesure, sans spoiler ou gâcher le plaisir de ceux qui ne l’ont pas encore vu. Mais au moins, je peux dire que la fin est bonne.

Tout semble parfait mais je vais émettre un petit bémol. Un peu après la moitié de l’anime, des épisodes ratés arrivent, en décalage total avec la très bonne ambiance. Ces deux-trois épisodes gâchent le plaisir, même si l’histoire reprend son cour juste après. Sans ce petit intermède, la série aurait été parfaite de bout en bout, avec une fin dramatique, des musiques envoutantes et un design plus que réussi.

Vous l’avez compris, j’ai adoré Phantom (malgré les deux-trois épisodes ratés) et je ne regrette qu’une chose, que ca se finisse. Je ne peux que vous encourager à voir cet anime.
