Nachdem ich meine Fenster blitzeflitzeblang geputzt hatte, inklusive waghalsiger Außenreinigung (mit 5. Stock ist schließlich auch nicht zu spaßen, da muss man schon Obacht geben!), dacht ich mir doch, räum ich gleich noch bisschen auf und mach sauber. Das ist ja schön. Denn selbst, wenn ich doch ab und an aufräume, sieht&#8217;s spätestens drei Tage später mindestens genau so schlimm aus, wie vor der Putzaktion. Besonders mein Schreibtisch ist ein innerer Konfliktpunkt, der ist echt immer unerklärlich unordentlich. Aber zum Glück hab ich ja niiiiie Hausaufgaben. Die werden eben auf dem Boden gemacht.<br />
Der ist jetzt an der Stelle, an der das Ganze immer stattfindet übrigens frisch &#8220;gewaschen&#8221;, denn dummerweise ist mir eben das Fensterputzwasser so&#8230; umgefallen. Ganz einfach! Umgefallen! Und dann hatte ich nen riesen Fleck und die Flüssigkeit lag da&#8230; und zog ein. Super. Naja&#8230; jetzt ist&#8217;s wieder trocken, vielleicht sauber und immerhin wieder unwellig, im Gegensatz zu gestern <img src='http://s.wordpress.com/wp-includes/images/smilies/icon_surprised.gif' alt=':eek:' class='wp-smiley' /> </p>

Der Trost war aber nicht das Schauen, sondern der Gang zu Mcens. Denn jetzt ist ja wieder Monopoly-Zeit!!! Und kaum zu glauben: auf meinem <a href="http://gefeha.wordpress.com/files/2009/11/101_0184.jpg"><img class="alignright size-medium wp-image-611" title="101_0184" src="http://gefeha.wordpress.com/files/2009/11/101_0184.jpg?w=300" alt="" width="240" height="180" /></a>ersten Gartensalat war ein Softeisdings. Ich bin ja der Wahnsinnsglückspilz! <img src='http://s.wordpress.com/wp-includes/images/smilies/icon_smile.gif' alt=':-)' class='wp-smiley' /> </p>
<p>Wiederum hab ich aber auch den mega Betrug aufgedeckt. Norma UND Rewe preisen ihre Kinder Überraschungseier nämlich als Ferrero Kinder Joy an! Jawoll, ich hab&#8217;s durchschaut!!! Mir kam das ja schon lange spanisch vor, dass bei Norma da Ü-Eier im Regal stehen, aber Kinder Joy auf dem Preisschild. Und dann sah ich doch tatsächlich gestern bei Rewe ein son richtiges gedrucktes Kinder Joy-Schild!!! Sowas find ich ja richtig mies. Sowas geht nicht! Aber ich kauf eh beides nicht, weil das nämlich Wucher ist. Und Wucher unterstütz ich nicht. Früher hat das mal 45 cent gekostet. Das waren noch Zeiten&#8230;</p>

<title><![CDATA[Hershey needs Cadbury and will pay more]]></title>

<content:encoded><![CDATA[<div class='snap_preview'><p>There is a nice story developing in the $16.7 billion Kraft bid for Cadburys&#8217;. There are possibly four players in this deal to be, <a href="http://www.euroinvestor.co.uk/news/story.aspx?id=10749876">Cadbury, Hershey, Kraft and Ferrero</a>.</p>
<p>And there are some big time names advising the players, Akeel Sachak of Rothschild, Byron Trott of BDT Capital Partners.</p>
<p>In my opinion Hershey does not have what it takes to out bid Kraft so Hershey would need to develop alternative strategies. Second, Cadbury &#38; Hershey don&#8217;t mix, not yet anyway. They tried in 2007 and failed.</p>
<p>This is the case of the small fish swallowing the big fish as Hershey&#8217;s market capitalization is $8.3 billion, Cadbury&#8217;s $18.1 billion and Kraft&#8217;s is $39.4 billion.  So that tells us quite a few things:</p>
<p>1. Hershey views the Kraft&#8217;s Cadbury bid as a threat to its long term independence. That is if Hershey does not succeed it will soon be bought out by someone else.</p>
<p>2. Hershey&#8217;s does not have the <a href="http://blogs.wsj.com/deals/2009/11/25/how-hershey-can-thread-the-cadbury-needle/">global reach</a> that Kraft and for that matter even Cadbury has. Hershey generates 93% of sale in North America, while Cadbury has 16%.</p>
<p>3. A Kraft purchase of Cadbury would turn Cadbury from friend to foe overnight, and one with a formidable distribution network in the United States.</p>
<p>4. Hershey&#8217;s 93% North American sales says that Hershey cannot compete overseas. Hershey needs Cadbury more than Kraft needs Cadbury. Don&#8217;t get me wrong. This is not about distribution networks even though that is important. If, like me you have lived on both sides of the Atlantic, you know American chocolates don&#8217;t cut it when compared to European chocolates. Hershey needs the branded recipe.</p>
<p>Hershey needs Cadbury and will pay more.</p>

<p><em>Occorrerebbe (&#8230;) che, insieme alla costruzione della Federazione, le due forze comuniste all’interno di essa, Prc e PdCI, iniziassero, abbandonando ogni risibile autoreferenzialità, un percorso comune – non necessariamente vincolato a immediate soluzioni organizzativistiche &#8211; di ricerca teorica, politica e programmatica (.</em>..) .</p>

<p>La dura concretezza delle cose, in Italia, ci mette di fronte a due ordini di problemi, per molti versi tra loro autonomi e per altri in relazione dialettica. Da una parte, rispetto allo strapotere della destra, alla drammatica condizione della classe e della sinistra italiana, vi è l’esigenza di unire le forze comuniste e di sinistra anticapitalista in un progetto di lotta comune volto sia a riconsegnare un punto di riferimento ai lavoratori e ai giovani precari che alla ricostruzione di un’opposizione sociale dai caratteri di massa, oggi totalmente assente. La Federazione di Sinistra che va nascendo deve rispondere a questo primo ordine di problemi e ciò che dobbiamo eventualmente rimarcare è che essa, rispetto alla pesante questione sociale, è ancor priva &#8211; come dimostra anche il documento politico sul quale nasce &#8211; di forti e mobilitanti obiettivi di lotta.</p>
<p><!--more--></p>
<p>Su salari, scala mobile, legge 30, contratto nazionale di lavoro e precarietà le indicazioni sono assenti o deboli, come se si fosse voluto far prevalere un disegno organizzativo e strutturante della Federazione piuttosto che la messa a fuoco delle brucianti questioni sociali da affrontare attraverso un’immediata unità d’azione (cosa ben diversa ed efficace di quell’ennesimo, consunto, progetto partitico di riduzione ad uno della sinistra che in molti ancora affidano alla Federazione).</p>
<p>Va aggiunto che dal punto di vista della necessità oggettiva (se vista con gli occhi di una ragazza precaria, di un operaio di fabbrica) dell’unità d’azione delle forze comuniste e di sinistra, quella critica alla Federazione “quale anticipazione dell’unità dei comunisti” che sale da alcune aree del Prc appare davvero pregiudiziale e stravagante, tanto più se espressa – appunto &#8211; da comunisti.</p>
<p>Assieme all’esigenza dell’unità vi è però in campo, con tutta la sua pesantezza, una seconda questione: quella comunista. Per motivi ancora colpevolmente non indagati siamo di fronte ad una crisi storica del movimento comunista italiano, che rischia di scomparire per una lunga fase. Tale crisi può risolversi solo attraverso un rilancio cosciente e determinato (assente, da Chianciano in poi) dell’autonomia culturale, politica e organizzativa comunista (per la quale la Federazione non deve in nessun modo essere d’ostacolo), della ricerca politica e teorica aperta e della prioritaria collocazione dei comunisti nel conflitto sociale. Da questo punto di vista la Federazione non è la risposta alla crisi del movimento comunista: essa – essendo solo la risposta all’esigenza dell’unità – può dialetticamente aiutare a rimettere in campo i comunisti ma non può assolvere il compito della ridefinizione della loro autonomia di prassi e di pensiero.</p>
<p>Dovremmo essere invece capaci di costituire un proficuo rapporto tra il ruolo dei comunisti nella costruzione dell’unità d’azione e del conflitto con le altre forze della sinistra anticapitalista e il rilancio dell’autonomia comunista,che proprio in questo movimento potrebbe trovare nuova linfa.</p>
<p>Ben sapendo che i due progetti strategici (rapporto unitario tra forze della sinistra d’alternativa e autonomia comunista) sono distinti.</p>
<p><span style="text-decoration:underline;">Occorrerebbe, da questo punto di vista, che, insieme alla costruzione della Federazione, le due forze comuniste all’interno di essa, Prc e PdCI, iniziassero, abbandonando ogni risibile autoreferenzialità, un percorso comune – non necessariamente vincolato a immediate soluzioni organizzativistiche &#8211; di ricerca teorica, politica e programmatica per affrontare insieme &#8211; dirigenti, quadri operai e intellettuali Prc e PdCI e comunisti senza partito – l’analisi delle questioni essenziali per una ripresa del movimento comunista: storia del movimento operaio e comunista del ‘900, quadro internazionale e internazionalismo, capitalismo e classe in Italia, sindacato di classe, forma partito, politica delle alleanze; e insieme con esso un percorso di ricollocazione unitaria dei comunisti nel conflitto sociale quale forma alta e costituente dell’unità (dieci giorni di iniziativa comune, in piazza e di fronte alle fabbriche sul referendum contro la legge 30, cancellerebbero tante astruse contrarietà al rinsaldamento della frattura comunista).</span></p>
<p>E’ sbagliato – sia per chi avversa che per chi sostiene l’unità dei comunisti –affermare che la Federazione ne sia la matrice primaria. Può rappresentare sia l’unità d’azione tra forze diverse che una base per riavvicinare i militanti Prc e PdCI, non così distanti, culturalmente, come si vuol far credere. Ma la risoluzione strategica della diaspora comunista e la definizione di un profilo politico e teorico comunista all’altezza dei tempi necessita invece – assieme alla lotta comune &#8211; un progetto di consapevole respiro politico e culturale, non lasciato al moto spontaneo ma progettualmente perseguito.</p>

Op een druilerige avond stonden we te wachten op een maar niet komende tram en waren we zowaar verplicht om op een aantal posters te kijken ter hoogte van de halte. Toeval wil dat er reclame werd gemaakt voor twee producten waar in koeien van letters &#8220;new&#8221; opstond. Het gaat over <a href="http://www.oasist.be/index_nl.php" target="_blank">Oasis t</a> en Tictac Cherry Passion.</p>

<p><a href="http://bnewit.wordpress.com/files/2009/11/oasis.jpg"><img src="http://bnewit.wordpress.com/files/2009/11/oasis.jpg?w=225" alt="" title="Oasis" width="225" height="300" class="alignleft size-medium wp-image-172" /></a>Oasis t bestaat in twee versies: de groene thee met appel en de rode thee met perzik. Hun slagzin is dan ook: &#8220;nog nooit was thee zo fruitig&#8221;. In het flesje zit een niet-bruisende frisdrank met appel en groene thee-extract, of met perzik en rode thee-extract. De producent Orangina-Schweppes, <a href="http://www.standaard.be/artikel/detail.aspx?artikelid=DMF20090922_035" target="_blank">sinds kort in Japanse handen</a>, waarborgt op hun <a href="http://www.oasist.be/index_nl.php" target="_blank">coole webstek </a>een gegarandeerd fruitgehalte, geen bewaarmiddelen, noch kunstmatige kleurstoffen/aroma&#8217;s. Het blijft echter een frisdrank, dus na het consumeren van een flesje van 50cl heb je bijna de helft (!) van je dagelijks aanbevolen hoeveelheid suikers binnen. Niet voor diabetespatiënten dus&#8230;<br />
Het product is al van deze zomer op de markt en dus helemaal niet meer zo nieuw. Bovendien vind je al langer Iced Tea met perziksmaak in Aldi of Lidl en ook Lipton heeft een Ice Tea variant met Perziksmaak. Wat zo nieuw is aan de &#8220;compleet nieuwe betekenis van &#8216;iced tea&#8217;&#8221; is mij niet helemaal duidelijk&#8230; Misschien is Oasis t een frisdrank met wat thee-extract, terwijl de rest koude thee is met een fruitsmaakje&#8230;<br />
Voor een fles van 1,5l betaal je zo&#8217;n €1,75.</p>

Waar is de tijd dat er maar twee soorten bestonden: de witte en de oranje. In die lang vervlogen tijd maakten ze nog onderstaande reclame:</p>

<p>Volgens <a href="http://nl.wikipedia.org/wiki/Tic_tac">Wikipedia</a> zouden er momenteel zo&#8217;n 24 verschillende smaken zijn. Deze Cherry Passion is eigenlijk een combinatie van twee smaken&#8230; juist ja, kers en passievrucht&#8230; maar nog steeds amper 2 calorieën.</p>
<p>Wist je trouwens dat er een tictac-song bestond? Kijk maar eens hieronder.</p>

<p style="text-align:justify;">Alla fine i tantissimi rumors potrebbero concretizzarsi. Secondo quanto riporta Bloomberg e il sito MarketWatch (del network del Wall Street Journal), Nestlè starebbe valutando l&#8217;opzione di una possibile offerta per Cadbury. Sia Bloomberg che MarketWatch vanno, com&#8217;è ovvio, con &#8220;i piedi di piombo&#8221;. Usano tutti i condizionali possibili, vista la fluidità della situazione con gli scenari che cambiano di giorno in giorno ( se non di ora in ora), ma alla fine, citando fonti competenti sull&#8217;<em>affaire</em>delle caramelle e del cioccolato, sottolineano che qualcosa si sta muovendo.</p>
<p style="text-align:justify;">La Nestlé sta rivedendo le sue opzioni con le banche e potrebbe decidere di muoversi, sfidando l&#8217;offerta di Kraft (17 miliardi di dollari) che, per adesso, è stata rigettata da Cadbury in quanto ritenuta troppo bassa. Com è noto, proprio sulla scia del passo effettuato dal colosso americano delle sottilette, si era mossa Hershey e poi l&#8217;italianissima Ferrero. L&#8217;ipotesi che poteva (o potrebbe) concretizzarsi era quella di un&#8217;offerta concordata tra la società di Alba e Hershey. Tuttavia, secondo Bloomberg, la presenza nella partita di Ferrero sarebbe sempre più difficile. Non è un mistero, peraltro, la diffidenza (se non contrarietà) all&#8217;operazione da parte del fondatore del gruppo Michele Ferrero. Che si scontrebbe contro la volontà, invece, dei due figli Pietro e Giovanni convinti della necessità di fare un salto di dimensioni. Soprattutto adesso che il mondo del cioccolato si consolida sempre di più e richiede maggiori economie di scala e di scopo.</p>
<p style="text-align:justify;">Certo, si tratta di un&#8217;operazione che richiede di sborsare molti danari. «Quanti ce ne vorranno? &#8211; si chiede Jon Cox, analista di Kepler Capital Markets- Se Nestlè vuole, le finanze per realizzare l&#8217;offerta ce le ha». Peraltro la stessa Hershey, secondo molti rumors, potrebbe essere partner nell&#8217;operazione. «Ciò che potrebbe creare qualche problema &#8211; afferma Thomas Russo, partner di Lancaster &#8211; è la possibile posizione dominante nel mercato del cioccolato. Cosa che, invece, non accadrebbe per quello del chewing gum, visto che Nestlé non possiede un business legato ai bubble gum».</p>

<p>The American dairy corporation Kraft Foods offered the British chocolate company, Cadbury, close to $17 billon to merge in September. Cadbury doesn&#8217;t want to merge.</p>
<p>Hershey, another American chocolate corporation, has considered an offer of at least $17 billion.  No answer.</p>
<p>Hershey is not doing as well as Kraft (financially). Hershey&#8217;s market value on November 20 was an estimated $8.5 billion, which is not much compared to the value of Kraft Foods (over $40 billion).  Cadbury&#8217;s market value is the European equivalent to a little over $18 billion.</p>
<p>At this point, a battle with Kraft puts Hershey at a disadvantage.</p>
<p>Plus, Ferrero (Italy) and Nestlé (Switzerland) are thinking about making offers for Cadbury too.</p>
<p>Seems bittersweet right now, but we&#8217;ll see how it goes.</p>

<p>The charitable trust that controls <strong><a href="http://markets.ft.com/tearsheets/performance.asp?s=us:HSY">Hershey</a></strong> has encocUS confectioner’s management to pursue a $17bn bid for British chocolate-maker <strong><a href="http://markets.ft.com/tearsheets/performance.asp?s=uk:CBRY">Cadbury</a></strong>, topping <strong><a href="http://markets.ft.com/tearsheets/performance.asp?s=us:KFT">Kraft Foods</a></strong>’ hostile $16.2bn offer.</p>
<p>While a formal bid is not believed to be imminent, Hershey is weighing a transaction that would include a combination of stock, debt and a multibillion-dollar contribution from deep-pocketed investors such as pension funds, people familiar with the matter said.</p>
<p>The trust’s push, which comes two days after Hershey told the UK takeover panel it was considering joining the <a title="Financial Times - In depth: Cadbury-Kraft" href="http://www.ft.com/indepth/cadbury-kraft">battle for Cadbury</a>, raises the stakes for both the confectioner and its would-be fellow suitor, Kraft.</p>
<p>Any acquisition agreement would almost certainly add billions of dollars of debt on to Hershey’s balance sheet, putting its credit ratings at risk. People familiar with Kraft’s thinking have noted the US consumer-goods giant has not ruled out raising the 717p-per-share bid it formalised last week. It also remains unclear whether Italy’s Ferrero, a family-run chocolate company that also alerted UK authorities of its interest in bidding for Cadbury, will join Hershey’s offer or seek its own deal.</p>
<p>A Kraft spokesman said yesterday: “Ours is the only bid on the table and we remain the most credible buyer.”</p>
<p>Hershey officials did not return calls seeking comment.</p>
<p>Hershey may be a welcome alternative in what has become an increasingly contentious standoff between Cadbury’s top executives and Kraft. Cadbury’s long-standing relationship with Hershey, and its shared focus as a pure-play confectioner, has made the possible tie-up an idea the UK candy company pursued as recently as 2007.</p>
<p>Adding Cadbury would give Hershey, which already produces the UK company’s chocolates in the US, access to international markets that have remained out its reach.</p>
<p>Nevertheless, Hershey’s corporate structure, in which a charitable trust controls 80 per cent of the voting shares and 32 per cent of the total equity, has complicated any potential combination – especially one involving what is a bigger company in Cadbury. “We have always said we would give proper consideration to any serious offer that delivers full value for the company,” a Cadbury spokesman said earlier this week.</p>
<p>Representatives from Ferrero, which makes Nutella chocolate spread, flew to the US last week to hold talks with Hershey, people close to the situation have said. Those discussions were highly preliminary and no decision to form a consortium with Hershey was taken, those people said. Neither company said they were working together.</p>
<p>Shares in Cadbury have surged 32 per cent this year as Kraft’s takeover plans gained steam. The stock rose 9.5p to 800.5p yesterday while Hershey shares, which have climbed 7 per cent in 2009, were little changed.</p>

<p>La notizia che <a href="http://www.ilsole24ore.com/art/SoleOnLine4/Finanza%20e%20Mercati/2009/11/cadbury-ferrero-deal-cinque-miliardi.shtml?uuid=9fa971ae-d5ae-11de-9e90-c4c9d04cccfb&#38;DocRulesView=Libero">la Ferrero</a> starebbe esaminando il dossier relativo all&#8217;acquisizione dello storico marchio britannico Cadbury è interessante, nel familistico capitalismo italiano senza capitali, per varie ragioni.</p>
<p>La prima è che si può essere, come amerebbe dire qualcuno, <em>&#8220;global players&#8221;</em> anche senza quotarsi in Borsa: e Ferrero, come Barilla, non lo è.</p>
<p>La seconda è che le imprese familiari non sono per questo meno capitalizzate: Nutella &#38; c. hanno consentito alla famiglia di Alba di dividere utili ingentissimi negli anni e gli azionisti, d&#8217;altra parte, non si sono lasciati tentare da facili entusiasmi, mantenendo l&#8217;impresa fortemente capitalizzata ed una forte riserva di liquidità interna.</p>
<p>La terza è che l&#8217;<em>advisor</em> scelto da Ferrero è Mediobanca: ovvero la vera ed unica -ma anche la migliore, perché più forte e più seria- <em>merchant bank</em> italiana, solida al punto da vantare un <em>core-tier 1</em> del 12%.</p>
<p>E infine, la quarta notizia è che si può crescere in maniera sana, mantenendo nel tempo l&#8217;equilibrio economico, finanziario e patrimoniale. Quando il fatturato non è vanità, l&#8217;utile è reale e la cassa regna sovrana.</p>

<p>La privatizzazione forzata dell’acqua bene comune passata oggi, attraverso il decreto Ronchi, anche alla Camera dei Deputati a colpi di voti di fiducia dopo il voto del Senato di ieri impone a tutte le forze di opposizione, ai sindacati, alla società civile e ai movimenti sociali una risposta incisiva ed efficace. Proponiamo dunque ai partiti, ai sindacati, alla società civile e soprattutto ai movimenti che si battono per l’acqua bene comune di chiamare l’intera popolazione italiana a esprimersi attraverso lo strumento del referendum.<!--more--></p>
<p>A chi, come la maggioranza delle destre oggi al governo del Paese, usa la fiducia per imporre al Parlamento italiano la privatizzazione dell’acqua rispondiamo con uno strumento di democrazia dal basso, il referendum.</p>
<p>Nei prosismi giorni chiederemo un incontro a tutte le forze interessate a questa cruciale battaglia per concordare una campagna unitaria per salvaguardare il sacrosanto principio che l’acqua è e deve restare un bene comune.<br />
L’imposizione da parte della maggioranza di governo di questo nefasto provvedimento è il segno dell’emergenza democratica che vive il nostro Paese e lo stesso Parlamento, dove giace da anni una proposta di legge d’iniziativa popolare presentata da più di 400 mila cittadini per la gestione pubblica dell’acqua, proposta cui il centrodestra ha risposto oggi con l’accelerazione della sua privatizzazione.</p>

L&#8217;inglese Cadbury, in particolare, fa gola ai più grandi conglomerati alimentari della Terra. Kraft, tra i più grandi player mondiali del settore con un fatturato annuo di 37 miliardi di dollari, sta provando da mesi ad acquisirla a prezzi da svendita. Ferrero è fortemente interessata a una joint venture con l&#8217;americana Hershey per rilevare i mastri cioccolatai britannici.</p>
<p>Cosa giustifica tutta questa voglia di dolce? E&#8217; davvero da correlare con il nostro stato d&#8217;animo (tendenzialmente giù in questo periodo&#8230;)? L&#8217;eventuale italianizzazione di un marchio simbolo dello stile alimentare inglese riuscirà una buona volta a fargli capire che &#8220;the Italians do it better&#8221;? La Nutella, s&#8217;intende&#8230;</p>
