<title><![CDATA[Non Profit Question and Answer Session with Kevin Rubel]]></title>

<content:encoded><![CDATA[<div class='snap_preview'><p>According to Kevin Rubel, a non-profit organization is a Corporation whose primary motive is to benefit the public and not generate any profits. More importantly, a non-profit organization may not allocate income to any of its directors or managers. Further, a Nonprofit Corporation is not just another business and should not be used as a substitute structure for a business whose chief aim is to make money.<br />
Is Tax Exempt the same as “Nonprofit”?<br />
Definitely not says Kevin Rubel. Even though one may be enlisted as Nonprofit Corporation, it does not automatically mean one is not tax exempt from the Federal Income Tax. In some cases, even local state taxes have to be paid.</p>
<p>Kevin Rubel defines a “tax-exempt” Corporation as an entirely separate structure that has earned an exemption from income tax liability. A Nonprofit Corporation, on the other hand, is almost never automatically eligible for exemption from income tax liability until an application has been made and approved by the IRS.</p>
<p>Are there rules as to how many Directors a Non Profit Organizations should have? Yes, says Kevin Rubel. The rules vary from state to state. Most States require Nonprofit Corporations to have a minimum of three directors. However, some states do allow for less than three directors. A handful of states also allow for only director. So, Kevin Rubel points out that Non Profit Corporations should check out the rules pertaining to their State before determining the number of Directors to be appointed.<br />
Is a Non Profit Corporation allowed to pay any money to its Directors? Yes, says Kevin Rubel, a Nonprofit Corporation may pay some compensation to its officers, directors, and/or employees. However, it is vital that the compensation be paid only for services rendered to the Nonprofit Corporation.</p>
<p>For those who ask Kevin Rubel “Are there rules where one can form a non-profit corporation?” he advices: “In general, there are no rules where one can establish a non-profit corporation. However, one has to be practical. There is no point in establishing a non-profit firm in Alaska and live in New York City. Remember, non-profit does not mean that you do not have to pay state fees and taxes- so it is important to work out of the same state. Further, if your directors and officers all live in one state, it is better to establish the corporation in the same state.”</p>
<p>Kevin Rubel further says: “What most people forget is that establishing any business in another state means firstly, you have to qualify to be allowed to do business in another state and secondly you are subjected to taxes in the state where you are incorporated and the state where you conducting your business. Similarly, the chances of a lawsuit are also doubled”.</p>
<p>Getting down to details, Kevin Rubel advices Non Profit Corporations to choose a name that reflects the intent of the Coporation. In general, there are no rules about the kind of names that can be selected by Non Profit Corporations. “However, the name you choose should reflect your motivation” says Kevin Rubel. There is no point in choosing a name that reflects money and profits. Kevin Rubel agrees further that it is important to search for a name that is not deceptively similar to another established entity. Moreover it is advisable to include the words Inc., at the end of the business name selected.</p>
<p>Next in consideration is the question, “How does one establish a non-profit corporation?” While some companies can help you file an application online, it is only the first step in the right direction. Most financial offices or people like Kevin Rubel can help you with this task. Individuals like Kevin Rubel know the requirements, forms, and required language. It is best to leave the filing to a professional.</p>
<p>It follows that if you are looking to set up a Non Profit Corporation, it would be in your own interests to approach people like Kevin Rubel and take advantage of their vast knowledge and experience in the field.</p>

<p>4.1  School Administration: Joe Grewal</p>
<ul>
<li>Writing is one of our school goals.  All students participated in the school-wide write on Nov.3<sup>rd</sup>.  There will be another in the Spring.  On Nov. 13<sup>th</sup>, teachers met in grade groups to talk about students’ writing while Mr. Grewal assembled their classes to talk about bullying.  School-wide writes provide a collection of writing samples for each student’s file that demonstrate the student’s progress over time.</li>
<li>The staff has decided to have a Winter Concert on the evenings of December 15<sup>th</sup> and 16<sup>th</sup>.  Gill Chater has volunteered to assist in the production.  The staff plans to compensate Mrs. Chater for her time and asked for PAC to support by funding ½ using Artist-in-Residence funds up to $750.  These funds are in the budget so Mr. Grewal was told to go ahead and let Renée know when he needs a cheque.</li>
<li>Remember that this Wednesday and Thursday are early dismissal days and there is no school for students this Friday.  Report cards will go home next week.  By now, teachers should have made contact with parents with information on parent and/or student conferencing.</li>
<li>Carol Hitchman is retiring and Sherisse Norris will be replacing her in January 2010.  There will be a celebration for Carol after school on Dec.9<sup>th</sup>.  More details to come.</li>
<li>Kenzie Munn is also retiring and Donnie Peterson will replace him in January 2010.  Kenzie would prefer not to make a fuss.</li>
<li>Mr.Grewal would like to say thank you to everyone that participated in the Fall Family Dance.  There was a real sense of community at the event.</li>

<li>Committee is gung ho to do something for December.  They will not do QSP Magazines as originally planned since they have not been a worthwhile fundraiser in the past.  There was talk about a catalogue/store type fundraiser that sounded interesting but it was decided that more information was needed.   Therefore, for December, they will go with a simple fundraiser selling “Smencils”.</li>
<li>Would like to be able to match a “cause” to each fundraiser.  Interested in distributing the proceeds from certain fundraisers directly to the classrooms.  Committee needs to ask Renée if this will complicate the book keeping and/or how to make it work. </li>
<li>Tru Value card sale was very successful but now we are running low so it is possible the Spring Tru Value Card campaign may be cancelled.          </li>
</ul>
<p>4.5  COPACS:  Kari Martin </p>
<ul>
<li>All-day Kindergarten will begin next year but there is still uncertainty about what financial support will come from the provincial government.  We will “wait and see.”</li>
<li>H1N1 absences in the district have been lower than expected; no schools will be closed unless illnesses affect the ability to staff the school with teachers and/or custodians.</li>
<li>PACs are encouraged to spend all gaming funds to decrease the likelihood or severity of further cuts.</li>
</ul>
<p>4.6  Class Reps:  Tracey</p>
<ul>
<li>Discussion on the role of Class reps.  Original sign up indicated they would be asked to recruit volunteers.  Letters they sent home to parents indicated they would be “keeping you informed”.  It was decided that class reps may be asked to inform their parents when a fundraiser is to start and end and where they can get more information.  Ideally, these emails would also inform parents when the newsletter will be published.   These emails would be once per month and would not be designed to coerce parents to buy or sell anything.</li>
</ul>
<p>4.7  Popcorn:  Rima</p>
<ul>
<li>Mr. Grewal said the staff is not opposed to the monthly popcorn sale so it was agreed that it will go ahead. Rima will get our own popcorn machine from the supplier; it will be stored in the kitchen. On rainy days, students can eat their popcorn under the covered area at the back of the school.</li>

<p><strong>5. Unfinished Business  </strong></p>
<p>5.1  Fall Dance Feedback</p>
<ul>
<li>More than 300 people participated and we had more than 60 volunteers.</li>
<li>Renée purchased $110 in prizes and materials for the games and received many great donated prizes.  In total, about 1000 prizes were given away!  New games seemed to be popular especially the penny drop.  Bowling didn’t happen since it’s more work.  Volunteers were “amazing”.  Thanks to all.</li>
<li>Kelly Hoffman is also very thankful for her volunteers.  She estimates that it grossed around $430.</li>
<li>Denise Tidman reports the silent auction raised $1953!  She will assemble a list of auction donors for the newsletter and has thank you cards ready to mail out.  She will take them to the post office and get the bill to Renée.</li>
<li>Cake donors were entered in a draw for a $25 Tru Value Card. Arlene Jones was the winner was drawn at the meeting. </li>
<li>All our volunteers were entered in two draws at the meeting: Alice Carswell wins a $25 Tru Value Card and Cory Milkert wins two free admission passes to Shaw Ocean Discovery Centre.</li>

<p>5.2   Guests: Tracey</p>

<li>Darren Laur’s “Safe Kids” program has been booked for Feb. 11<sup>th</sup> and 17<sup>th</sup>, 2010.  All present agree we should also book his Internet safety for parents program.  Tracey will contact him.</li>
<li>Saleema Noon (Sexual Health educator) is available for next Fall.  Joe says we have the support of the staff to bring her in.  Tracey will book her one day with the kids and the preceding evening for the parents.</li>

<li>Hand sanitizer: Tracey contacted Soapopular, a non-alcohol alternative, but has yet to receive a response.  Everyone keep an eye out for other alternatives.</li>
<li>Coin counter:  Renée says it works pretty well but consistently miscounts certain coin denominations.  We’ll let Rima try it for popcorn day and then decide whether or not to return it to Costco.</li>

<p>6.1 Kenzie Munn &#38; Carol Hitchman retiring so we need someone to buy them each a gift.  Joe made a couple suggestions and Denise offered to go buy them.  No earrings for Kenzie.</p>
<p>6.2 Food hamper drive: Madeleine volunteers to find boxes and decorate for hamper drive.</p>
<p>6.3  Kitchen Clean up: Since the kitchen is a shared space and sometimes things end up in the sink for several days the PAC was asked to make a plea to all parents using the kitchen to please clean after ourselves.  In addition, Allison commented that the PAC lunch crew does a thorough clean up before, during and after each PAC lunch day.  Kelly Hoffman kindly offered to step up one day mid month to do a thorough clean up.  Thanks people.</p>

<content:encoded><![CDATA[<div class='snap_preview'><p>Abby Fox and Megan McGuire, 2008 OSU public relations alums, joined OSU PRSSA for pizza at The Hideaway for a professional panel. Fox spends a lot of her time at work writing and got her job at the OSU Foundation because she interned with them. The hardest adjustment to working life for Fox was cubical. During her job search, she struggled because she didn&#8217;t have enough experience. She also suggested finding a mentor. McGuire works for the Oklahoma City All Sports Association where she manages events and the intern program. She says she writes a lot of press releases as well. When she applied for jobs, everyone wanted five years of experience. She thought about where she wanted to work to find a job. She suggested looking at what the client does and play to your strengths&#8211;be honest. She also said that internships are essential, volunteering and any other experiences help. A long term internship vs. a bunch of short internships doesn&#8217;t matter as much, McGuire said. Many short-term internships provides a variety. For wardrobe, Fox built hers up as she went along. McGuire and her roommate borrowed from each other for awhile. Use your contacts&#8211;if they&#8217;re doing something you want to do, keep in touch with them, McGuire said. Keep in touch with people&#8211;especially those from OSU who&#8217;ve gone through the same classes.  Network as much as possible and use career services, Fox said. When negotiating a salary, have an idea of what you&#8217;re worth. When interviewing, try to get a feel for who your superior is, Fox said. Research the job, ask questions and think about basic interview questions like, &#8220;What&#8217;s your greatest weakness?&#8221; Know and realize you have weaknesses. Have confidence and it&#8217;s OK to not have the answers. Have a can-do attitude, McGuire said. For starting PR professionals, pay varies but non-profits pay less than corporations, McGuire said. Take every opportunity you can. Fox said that media tracking was kind of tedious and that writing press releases was not creative work, but her favorite part of working is managing projects and talking to people. McGuire said that things change and that to help navigate, you should ask questions and think out of the box. As for what a professional does in a day, it depends. The more writing, the more you&#8217;re out of the office, Fox said. The more managing the less you&#8217;re out. Meetings and productivity are also a challenge, but PR has a lot of fields and everyone should find what works best for him or her. During slow times, McGuire likes to brainstorm. McGuire would eventually like to get her masters. Fox doesn&#8217;t think that a master&#8217;s program is for her, but if it&#8217;s something you really want to do, you should do it. In the PR field, experience is more emphasized than education. But Fox says that in some cases people can make more money with a master&#8217;s and it&#8217;s always good to learn more and educate yourself. Both Fox and McGuire don&#8217;t do much hard news writing. McGuire said that taking feature writing and a foreign language would have been helpful. Fox thought that some creative writing classes would have helped her be more rounded. As for job searching, prepare yourself and don&#8217;t get discouraged or stressed out. In the working world, you don&#8217;t get as much feedback to know where you stand, Fox said. But do the best you can and your boss will see that and value it.</p>

While <em><strong>board members of the SLCC have raked in a staggering</strong></em> <strong><em>£135,000 plus in expenses claims over the past year</em></strong>, and its Chair, <strong><em>Jane Irvine nets £308 plus, a day</em></strong>, along with <em><strong>Chief Executive Eileen Masterman who gets a whopping £1350 per week</strong></em>, the complaints body has shown itself over the past year to be a very poor regulator of complaints against ‘crooked lawyers’, leaving many clients finding their complaints have been ‘whitewashed’ in a way reminiscent of the Law Society of Scotland’s Client Relations Office investigations, which are well known to have let thousands of crooked lawyers off the hook from even the most serious of complaints.</p>
<p style="text-align:justify;"><a title="Debating chamber by politicalscotland, on Flickr" href="http://www.flickr.com/photos/29306817@N06/3656475315/"><img style="display:inline;margin:5px 10px 0 0;" src="http://farm3.static.flickr.com/2441/3656475315_065dac4f25_t.jpg" alt="Debating chamber" width="100" height="73" align="left" /></a><em>MSPs have been asked to assist consumers caught out by anti-client SLCC.</em> While the SLCC has focussed on huge salaries and expenses claims, little by way of complaints victories for consumers have been achieved by the cash hungry quango. The public’s dealings with the SLCC have now reached such a low point that MSPs across Scotland have been called in by many constituents to help complainers get the SLCC to give them a fair hearing that Justice Secretary Kenny MacAskill had promised would be routine with the failing SLCC, once styled as a &#8216;new broom&#8217; but which has now lost its bristles, and it seems, the will to address public complaints against the legal profession.</p>
<p style="text-align:justify;">This morning, an MSP spoke of being called in by a constituent to ask the Scottish Legal Complaints Commission why it had continually failed to address serious issues in a complaint made against a rogue solicitor and his law firm which now includes a complaint against the Law Society itself.</p>
<p style="text-align:justify;">The MSP said : <em><strong>&#8220;A constituent who has become embroiled in a dispute with the Scottish Legal Complaints Commission and the Law Society of Scotland over a complaint made against a solicitor, asked me to write into the SLCC seeking to untangle the mess they had made of my constituent’s problem. The responses I have received so far from the SLCC demonstrate nothing has been learned from the failures of the Law Society’s complaints system.”</strong></em></p>
<p style="text-align:justify;"><em><strong>“Each time I received a response to my enquiry, they would seek to complicate the issue further to the point that matters became very unclear as to what was happening with my constituent’s complaint and what they intended to do about it. I was left with the distinct impression I was dealing with an organisation that has a very bad attitude towards the public. Clearly the SLCC has become unfit for purpose.”</strong></em></p>
<p style="text-align:justify;">A member of the public who has been waiting several months for his complaint to be investigated by the SLCC said today : <em><strong>&#8220;I have been writing letters back &#38; forth for months to people at the Scottish Legal Complaints Commission and I feel they are just doing all this on purpose to lose me in a paper chase. I think the legal profession are just having a laugh at us consumers by using the SLCC to launder complaints made against crooked lawyers. I have lost all trust in the SLCC. They should be replaced with something that can help people with complaints not hinder them and there should be no lawyers on whatever replaces it in the future.”</strong></em></p>
<p style="text-align:justify;">The Scottish Legal Complaints Commission was asked for information on how many MSPs had contacted it over problems faced by constituents who had encountered difficulties with the law complaints body. However, the SLCC refused to hand over any information or documents on this subject, and tersely said that requests for such information would now be charged for.</p>

While the SLCC was being secretive about its own difficulties and the lack of trust it suffers from public &#38; politicians alike, the quango’s own website amazingly reveals today<em><strong> <a title="http://www.scottishlegalcomplaints.com/about-the-slcc/board-meeting-minutes.aspx" href="http://www.scottishlegalcomplaints.com/about-the-slcc/board-meeting-minutes.aspx"><span style="text-decoration:underline;">that up to today, 23 November 2009, it has failed to post any board minutes since July 2009</span></a></strong></em>, begging the question what has the Commission actually been doing all this time, while its members have been raking in huge expenses claims &#38; salaries while complaints and the public have become its last priority. An insider commented on the lack of minutes information, claiming that due to poor media coverage which had revealed the SLCC to be unfit for purpose, the commission had now taken the decision not to release much information on its internal workings to the public, for fear that the details of its daily operation and board meetings would continue to portray it to be a pro-legal profession body, rather than an impartial regulator of consumer complaints against poor legal services.</p>

A spokeswoman for a consumer organisation today rounded on the SLCC and agreed the quango needed to be reformed. She said : “<strong><em>While the Scottish Legal Complaints Commission may argue this has been their first year of operation, they have without doubt made a huge mess of handling complaints and attending to their duties.” </em></strong>She continued : <em><strong>“Probably the worst example I can think of from the SLCC’s first year would be their Master Policy investigation, which revealed so much, yet has still to see any action or reform of the horrendous claims process which clients are forced to use when claiming negligence or damages against their solicitors. I think that failure on its own, demonstrates the SLCC is too weak, too unwilling, and too close to the legal profession to be of any use to consumers as the impartial, independent regulator it claims itself to be.”</strong></em></p>
<p style="text-align:justify;"><em><strong>&#8220;We need to move on from this mistake and create a fully independent regulator that is able to do the job the SLCC was supposed to do, but cannot do due to overwhelming influence and control from the legal profession itself.&#8221;</strong></em></p>

<p style="text-align:justify;">Well, I can only agree with the sentiments expressed by others, that the Scottish Legal Complaints Commission is most certainly, unfit for purpose, and should be replaced with a fully independent body which operates under external oversight, and is free of influence &#38; control from the legal profession, to ensure that consumers are fully protected from the many rogue elements of Scotland’s very poor, untrustworthy, legal profession.</p>
