<strong>Ensuring A Smooth Transition Of Leadership At Patni</strong><br />

<p>It was the Indian IT industry’s biggest-ever man hunt. A global search for a CEO for one of the country’s oldest software companies, who would replace the founding doyen. The hunt lasted four years and targeted the IT industry’s top executives world-wide , some of whom were pulled in, then let go. </p>
<p>Then the process was derailed by the possibility of a change in ownership, with a section of the owners preparing to sell their stake. But that’s all over now and <a href="http://www.patni.com/" target="_blank">Patni Computer Systems</a> (PCS) finally has a new CEO in the 54 year-old Australian expatriate Jeya Kumar, <a href="http://www.sathyasai.org/">Sathya Sai Baba</a> devotee and former CEO of MphasiS. </p>
<p>For the 66 year old <a href="http://en.wikipedia.org/wiki/Narendra_Patni" target="_blank">Narendra Patni</a>, who is now designated non-executive chairman, the denouement comes as a relief, even if it marks the beginning of the end of his long reign in the company he founded fresh out of MIT and Sloan Business School. The long search for a CEO, mandated by the company’s board, has been fairly painful for the company’s top management, with many falling by the wayside. </p>
<p>Patni appointed a CEO in 2006, with the idea of grooming him for the CEO position, but things didn’t go according to plan and he resigned two years later. Then there was the CEO of <a href="http://www.alacrastore.com/company-snapshot/Cymbal_Corporation-2522413" target="_blank">Cymbal Corporation</a>, USA, acquired by PCS in 2004, who was also in the running but failed to make the grade. </p>
<p>And finally there was Dutch expatriate Loek van den Boog, appointed as executive director in charge of operations as an interim measure, who has now handed over responsibilities to the new CEO and become nonexecutive director on the board. </p>
<p><em>“It’s one of our failings that we were not able to generate a successor internally,”</em> says Patni. <em>“But I’m delighted that the process has come to an end. We needed someone with international experience and we found the right combination in Jeya, with his 14 years at Sun. Now his mandate is to revive and rejuvenate the company.”</em></p>
<p>In Kumar, PCS has an ideal combination of a CEO with an Indian face, but very global experience . An MBA from Australia’s <a href="http://www.curtin.edu.au/" target="_blank">Curtin University</a>, he had worked in Singapore and Japan before being promoted to Sun’s headquarters in the USA and put in charge of its $5 billion software services business. </p>
<p>When PCS began head-hunting him last year, Kumar had moved to India for the first time, as CEO of <a href="http://www.mphasis.com/home/index.asp" target="_blank">MphasiS</a> in Bangalore. <em>“I heard from friends and associates that PCS was making enquiries about me,”</em> he says with a laugh. <em>“By the time they approached me, they had spoken to everyone but my mother-in-law.”</em></p>
<p>Bored with MphasiS, which had become a captive unit of Hewlett Packard after its merger, Kumar was keen on the Patni offer — but had to convince his wife, Philo. <em>“We had moved four times in six years, from one end of the globe to the other and it was hard for her,”</em> he says. <em>“I think it was Naren’s wife Poonam who finally convinced her over dinner that the move to Mumbai would work out fine.”</em></p>
<p>Since he joined three months ago, Patni has introduced Kumar to all major customers and to the rank and file of PCS through a series of 16 town-hall meetings. Kumar has also made it a point to attend ceremonies to facilitate employees who have spent 25 years with the company, which occur more regularly at PCS than one might imagine. </p>
<p><em>“I think our employees have accepted the change very well,”</em> says Patni. <em>“They understand that we need to change. Our structures have become outdated and inefficient over the years. Jeya needs to transform the company.”</em></p>
<p>So is the charismatic chairman finally ready to withdraw and leave the running of the company to his new CEO? Patni remains wonderfully ambiguous on this point. <em>“I’m technically the non-executive chairman according to clause 49, but I intend to remain fully participative in the company,”</em> he says breezily. </p>
<p>Given that one of the objectives of Kumar’s appointment is to separate ownership from management at PCS, Patni’s statement might be expected to cause the new CEO some heartburn. But Kumar is ready for a little ambiguity at this stage of the transition . <em>“Naren loves the company, it’s in his blood, so he wants to help in any way he can. But he is the non-executive chairman and the role is clearly defined,”</em> he says. </p>
<p>One role that’s not as clearly defined is that of Anirudh Patni. A graduate of <a href="http://web.mit.edu/aboutmit/" target="_blank">MIT</a> and <a href="http://www.wharton.upenn.edu/" target="_blank">Wharton</a>, with work experience at <a href="http://www.mckinsey.com/" target="_blank">McKinsey &#38; Co</a>. Narendra Patni’s 32 year-old son is a senior vice president at PCS. Is Kumar expected to groom him as a successor as Brian Tempest did with Malvinder Singh at Ranbaxy? </p>
<p><em>“I don’t know too much about Ranbaxy but I like the example of Wipro, where Premji has kept his son on the sidelines ,”</em> says Patni. <em>“Nobody should be anointed crown prince. It’s very discouraging for the professionals.”</em> But then he adds: <em>“But I’m a strong believer in owner-management . If it works out, it can be very good for the company.”</em> </p>
<p>Kumar, on the other hand, is more categorical when he says, <em>“Anirudh will be evaluated on the same performance matrix as everyone else. The process will be very transparent and available for all to see on the company web-site. It should make no difference that he’s part of the promoter family.”</em></p>
<p>Narendra Patni and his brothers Gajendra and Ashok hold an equal stake amounting to 49% in PCS, with <a href="http://www.generalatlantic.com/en/home" target="_blank">General Atlantic</a> holding 18% and 33% with the public. The other Patni brothers had made a move to sell their stakes two years ago, when the PCS scrip was ruling at an all time high. </p>
<p>This had hastened the search for a CEO who would separate management and ownership, but made the process that much more difficult since few were interested in joining a company that might soon change hands. Today, the scrip is down to a level close to the company’s cash reserves and there’s no more talk of a stake sale. </p>
<p>Kumar’s focus is to now on improving PCS’ valuations with a clear competitive strategy in the rapidly evolving market for IT services. <em>“Right now, I’m building an A-team from within the company and outside,”</em> he says. <em>“Fortunately, people are available like never before.”</em></p>

<p>Shell India and GRSP (Global Road Safety Partnership) have helped in getting this Standard; they have got Infosys, GE, Accenture, Goldman Sachs, Mphasis and Wipro  in getting this standard to the table.</p>
<p>What is special about this standard is the focus on all the stake holders</p>
<ul>
<li>Driver management</li>
<li>Vehicle management</li>
<li>Journey management, and,</li>
<li>Contractor management</li>
</ul>
<p>It will be interesting to watch this standard evolve over the years.<br />
The proof of the pudding will of course be the real reduction in automotive-related accidents that cost a lot to the country, with fatalities exceeding 100,000 in the year 2006 and accounting for more than 35% of all unnatural deaths in India</p>

Once again the book traces the “long revolution” <span> </span>- Swiss Air starting a joint-venture with TCS though Airline Financial Support Services (APS) in SEEPZ Bombay in 1992; British Airways followed suit in 1996 (later becoming World Network Services (WNS); financial services major American Express and GE followed. Local entrepreneur jumped in &#8211; Raman Roy with SpectraMind, K Ganesh with CustomerAsset, Jerry Rao with mPhasis; later they were acquired by Wipro, ICICI and EDS respectively. In the process, Business Process Outsourcing (BPO) industry was born.</span></p>

<p class="MsoNormal"><span>Interestingly R &#38; D outsourcing, starting with Pharmaceuticals R &#38; D led to a whole range of companies starting their R &#38; D arms India – GM, DuPont, Unilever, Volvo, Philips, LG and so on. IBM, GE, and Cisco were particularly focusing on large investment in R &#38; D in India. </span></p>

<p class="MsoNormal"><span>Engineering Services was the next. Bechtel started modest operation in 1994 and the headcount has touched 600 by 2006. Indian companies Wipro and HCL Technologies cashed in this opportunity. </span></p>

<p class="MsoNormal"><span>Knowledge Process Outsourcing (KPO) started in a big way; EvalueServe is a classic example that focused on patent related services. Management Consulting Services (including McKinsey) followed. Financial Services (Goldman Sachs) information Services (Thomson) and Legal Process outsourcing (LPO) followed – spanning a wide range of services.</span></p>
<p class="MsoNormal"><span> </span></p>
<p class="MsoNormal"><span>In “Conclusion” the author talks of the role of the government – ECIL/ ITI / Government computer centers contributing to early technical staff of Wipro, DCM; IITs, NCST providing manpower. The restrictive follows hampering growth initially and supporting policies enabling spectacular growth. The challenge for the Indian IT industry is to sustain the growth – enter into products and technology in a big way. With the global meltdown and Satyam scam, the challenges have only increased. One hopes that the Indian IT industry will come out of those dark clouds with a renewed vigor and energy.</span></p>

The National Association of Software and Services Companies (Nasscom) has forecast a strong outlook for FY08-09 strong with software and services revenue seen growing by 21-24 per cent. The software and services exports are set to hit the $50 billion-mark.</p>
<p>The software and services exports segment grew by 29 per cent (in USD) to register revenues of $40.4 billion in FY07-08, up from $31.4 billion in FY06-07. The domestic segment grew by 26 per cent (in INR) to register revenues of $ 11.6 billion in FY07-08. According to the latest Nasscom rankings, Tata Consultancy Services Ltd., Infosys Technologies Ltd. and Wipro Technologies Ltd are the top 3 revenue generators in India. <p>Founded in 1968, TCS is one of India’s largest corporate houses. It is also India’s largest IT employer with a staff strength of 111,000 employees.</p>

<p><strong>I</strong>nfosys Technologies Ltd was started in 1981 by seven people with $250. Today, the company boasts of revenues of over $ 4 billion and 94,379 employees.</p>
<p>Under the leadership of N R Narayana Murthy, the company has become a global brand. The company is now headed by Kris Gopalakrishnan. The income for the quarter ended June 30 2008 was Rs 4,854 crore (Rs 48.54 billion). The net profit stood at Rs 1,302 crore (Rs 13.02 billion).</p>
<p>Forbes magazine named Infosys in its list of Global High Performers. Waters magazine rated Infosys as the Best Outsourcing Partner. The Banker magazine conferred two Banker Technology Awards on Infosys to acclaim its work in wholesale and capital markets in two categories &#8211; Payments and Treasury Services, and Offshoring and Outsourcing.</p>
<p>The International Association of Outsourcing Professionals (IAOP) ranked Infosys at No. 3 in its ‘2008 Global Outsourcing 100′.</p>

<p>Wipro’s revenues grew by 33 per cent to Rs 19,957 crore (Rs 200 billion) for the year ended March 31, 2008. The net profit grew by 12 per cent to Rs. 3,283 crore (Rs. 32.83 billion). The revenues of the combined IT businesses was $4.3 billion with 43 per cent YoY growth.</p>
<p>Wipro was the only Indian company to be ranked among the top 10 global outsourcing providers in IAOP’s 2006 Global Outsourcing 100 listing. Wipro has also won the International Institute for Software Testing’s Software Testing Best Practice Award.</p>

<p><strong>i</strong>flex started as a division of Citicorp (now Citigroup), wholly owned subsidiary called Citicorp Overseas Software Ltd. (COSL) in 1991. Later, a separate company Citicorp Information Technologies Industries Ltd. (CITIL) was formed and Rajesh Hukku was appointed as its head.</p>
<p>CITIL started off with the universal banking product, MicroBanker which became very successful. In the mid-90s, CITIL developed Flexcube at its Bangalore development centre. After the launch of Flexcube, all of CITIL’s transactional banking products were brought under a common brand umbrella. <p><strong>M</strong>phasiS Limited was formed in June 2000 after the merger of the US-based IT consulting company MphasiS Corporation (founded in 1998) and the Indian IT services company BFL Software Limited (founded in 1993).</p>
<p>Jeya Kumar is CEO of MphasiS, which has a staff strength of 27,000 people. For the year ended 31 March 2008, the MphasiS Group recorded revenues of Rs 2,423 crore (Rs 24.23 billion), a growth of Rs 662 crore, which is 38 per cent over the previous year.</p>
<p>The net profit increased by 42 per cent from Rs 180 crore (Rs 1.8 billion) to Rs 255 crore (Rs 2.55 billion) during the year ended 31 March 2008. MphasiS was named among amongst the Top 100 Companies in Global Outsourcing.</p>

<p>After struggling to bootstrap an India capacity for many year, EDS acquired the Indian vendor MphasiS, whose strength in business process outsourcing is formidable [<a href="http://www.eds.com/news/releases/3142/" target="_blank">EDS – India To Merge Into MphasiS</a>]</p>
<p>Earlier this year, EDS was acquired by HP, creating a behemoth that could rival IBM [<a href="http://www.informationweek.com/news/services/business/showArticle.jhtml?articleID=207800401" target="_blank">With EDS, HP Buys Its Way Into Outsourcing Big League</a>].</p>
<p>The HP hardware lineage, combined with the EDS services lineage, combined with MphasiS&#8217;s India lineage brings this company neck-to-neck with IBM (though it still lacks the software products story of IBM).</p>
<p>Therein lies the problem. <em>This is really three companies masquerading as one</em>!</p>

<p>Moreover, EDS has a history of at least one failed merger behind it, when it acquired A.T. Kearney in 1995 and eventually divested it in 2005:</p>

Since EDS purchased A.T. Kearney in 1995, results have been disappointing. A.T. Kearney contributed less than 5% of EDS&#8217; total revenues last year, while posting a $10 million loss. When he took the helm of EDS two years ago, CEO Michael Jordan indicated, that his primary goal was to bring the company back to basics. <em>Because the two companies haven&#8217;t resolved their cultural differences</em>, selling Kearney is the smart thing to do — for both firms.</p>

<p>I had a ring-side view of this culture clash during my association with eBreviate, an A. T. Kearney subsidiary, at the time of this messy acquisition [<a href="http://www.thestandard.com/article/0,1902,28551,00.html" target="_blank">Shakeup Unearths Discord at EDS Auction Unit</a>]</p>
<p>It is unlikely EDS-HP will ever pose a real threat to IBM.</p>
<p>That is not to say that EDS poses no threat to the Indian vendors.</p>
<p>EDS has deep service relationships with its existing customer, having taken significant ownership for the data center operations of these customers. If EDS can make its acquisition of MphasiS&#8217;s India capacity work effectively, it is positioned to offer significant cost savings to these customers.</p>
<p>Is EDS doing a better job with MphasiS than it did with A.T.Kearney? The jury is still out. Given its struggles with bootstrapping it&#8217;s own India operation, my take is No. While EDS has the potential to challenge the commodity play of the Indian vendors, it is unlikely to actually succeed in doing so.</p>

The National Association of Software and Services Companies (Nasscom) has forecast a strong outlook for FY08-09 strong with software and services revenue seen growing by 21-24 per cent. The software and services exports are set to hit the $50 billion-mark.</p>
<p>The software and services exports segment grew by 29 per cent (in USD) to register revenues of $40.4 billion in FY07-08, up from $31.4 billion in FY06-07. The domestic segment grew by 26 per cent (in INR) to register revenues of $ 11.6 billion in FY07-08. According to the latest Nasscom rankings, Tata Consultancy Services Ltd., Infosys Technologies Ltd. and Wipro Technologies Ltd are the top 3 revenue generators in India. <p><strong>1.</strong><strong> <span style="text-decoration:underline;">Tata Consultancy Services</span></strong></p>
<p>Founded in 1968, TCS is one of India&#8217;s largest corporate houses. It is also India&#8217;s largest IT employer with a staff strength of 111,000 employees.</p>
<p>The company began as a division of the Tata Group, called the Tata Computer Centre. Its main business was to offer computer services to other group companies. Soon the company was spun off as Tata Consultancy Services after it realised the huge potential of the booming IT services.</p>
<p>The company posted a consolidated net profit of Rs 1,290.61 crore (Rs 12.90 billion) for the first quarter ended June 30, 2008, an increase of 7.3 per cent compared to the year-ago period.</p>
<p>Its annual sales worldwide stands at $5.7 billion for the fiscal year ending March 2008. During the year 2007-08,</p>
<p>TCS&#8217; consolidated revenues grew by 22 per cent to Rs 22,863 crore ($5.7 billion). S. Ramadorai, is the chief executive officer and managing director of TCS.</p>

<p>Under the leadership of N R Narayana Murthy, the company has become a global brand. The company is now headed by Kris Gopalakrishnan. The income for the quarter ended June 30 2008 was Rs 4,854 crore (Rs 48.54 billion). The net profit stood at Rs 1,302 crore (Rs 13.02 billion).</p>

<p>Wipro&#8217;s revenues grew by 33 per cent to Rs 19,957 crore (Rs 200 billion) for the year ended March 31, 2008. The net profit grew by 12 per cent to Rs. 3,283 crore (Rs. 32.83 billion). The revenues of the combined IT businesses was $4.3 billion with 43 per cent YoY growth.</p>
<p>Wipro was the only Indian company to be ranked among the top 10 global outsourcing providers in IAOP&#8217;s 2006 Global Outsourcing 100 listing. Wipro has also won the International Institute for Software Testing&#8217;s Software Testing Best Practice Award.</p>
<p><strong>4.</strong><strong> <span style="text-decoration:underline;">Satyam Computer Services</span></strong></p>
<p><strong>E</strong>stablished in 1987 by Ramalinga Raju, Satyam has a staff strength of 51,000 employees. In 2008, the company&#8217;s revenues crossed the $ 2-billion mark.</p>

<title><![CDATA[When Puravankara says Jayakar Jerome zindabad]]></title>

<p><strong>PALINI R. SWAMY</strong> writes from Bangalore: It is perhaps a sign of the times when nothing shocks or surprises us any more. Or perhaps a sign that the line between public and private is fast disappearing in post-liberal, anything-goes India.</p>
<p>Or perhaps not.</p>
<p><strong>Jayakar Jerome</strong>, the former commissioner of the Bangalore Development Authority (BDA), has joined a leading developer in Bangalore, barely two years after his <a href="http://www.thehindu.com/2006/04/04/stories/2006040404930400.htm">retirement from service</a>&#8212;and true to a City where only 44 out of 100 voted, there has scarcely been a whimper of possible conflict of interest.</p>
<p>Jerome, an IAS officer of the 1983 batch, earned plenty of good press&#8212;thanks to the deft handout of &#8220;G&#8221; category sites to journalists and &#8220;journalists&#8221;&#8212;during <strong>S.M. Krishna</strong>&#8217;s regime when he was credited with having resurrected a moribund BDA and giving it a good name.</p>
<p>As one <a href="http://adithi-2004.sulekha.com/blog/post/2004/07/writing-on-the-wall.htm">blogger wrote</a> at the time:</p>
<blockquote><p>&#8220;Once considered highly corrupt and destined for the boondocks, BDA was resurrected, revamped, cleansed, organised, professionalised by a dedicated Jerome and his team. Land sharks, who once ruled the roost, were stamped down as was corrupt BDA staffs, who hitherto, were a law unto themselves.&#8221;</p></blockquote>
<p>When the Congress-JDS coalition government of <strong>Dharam Singh</strong> transferred him, allegedly at the behest of <strong>H.D. Deve Gowda </strong>&#38; Sons, Krishna, who had been sinecured to Bombay as governor of Maharashtra, sought Jerome&#8217;s services as his secretary.</p>
<p>Jerome who was <a href="http://www.hindu.com/2005/01/09/stories/2005010904320400.htm">deputed</a> there, retired in that post in May 2006. (When a World Bank report called Karnataka  (under Krishna) &#8220;the most corrupt State in India in 2004&#8243;, it was secretary Jerome who released a <a href="http://www.thehindu.com/2005/11/04/stories/2005110418000100.htm">WB clarification</a> to the contrary.)</p>
<blockquote><p>&#8220;He was one of the finest officers I have seen in terms of conceptualising and implementation. To my mind, he would rank in the top 2 per cent of India&#8217;s bureaucracy,&#8221; Infosys chief mentor <a href="http://www.indianexpress.com/india-news/full_story.php?content_id=60352"><strong>N.R. Narayana Murthy</strong></a> said in an <em>Indian Express</em> interview.</p></blockquote>
<p>But, in 2008, with a new government barely a fortnight away from being sworn in in the State, how appropriate is it for Jayakar Jerome to join <a href="http://www.puravankara.com/">Puravankara</a>, the realty major whose rise into the real estate limelight in Bangalore roughly coincided with its rise as an IT City under the benign gaze of S.M. Krishna?</p>
<p>According to a report in <a href="http://www.propmart.com/mtrends/pm_morenews.asp?articleno=6709"><em>The Economic Times</em></a>, Jerome, <a href="http://www.koramangala.com/korabuz/pers2000/04.htm">a sixth-generation Bangalorean born in <strong>Richards</strong> Town</a>, will spearhead Puravankara&#8217;s proposed infrastructure foray.</p>
<blockquote><p>&#8220;The Purvankara Group is looking to set up separate subsidiaries for infrastructure, hospitality as well as low-income housing. Mr Jerome is likely to head the infrastructure division,&#8221; a source told the paper.</p></blockquote>
<p>For the record, former <em>Times</em> group president <a href="http://www.puravankara.com/bod.asp"><strong>Pradeep Guha</strong></a> is a director on the Puravankara board, as are two IT mascots, <strong>Jaithirth </strong>&#8220;<strong>Jerry</strong>&#8220;<strong> Rao</strong> and <strong>Ravi Ramu</strong> of Mphasis BFL.</p>
<p>To be fair to Jerome, there has been a &#8220;cooling-off&#8221; period of two years from the day of his retirement in March 2006, and a full four years since he left BDA, before his lurch towards Puravankara. So he is probably not carrying any of the short-term &#8220;state secrets&#8221; from BDA that might benefit his future employer unlike, say, <strong>Rathikant Basu</strong> who left Doordarshan one day and was with <strong>Rupert Murdoch</strong>&#8217;s Star Television the next.</p>
<p>Or <strong>Vivek Kulkarni</strong>, who was IT secretary one day, and heading an IT company the next.</p>
<p>Moreover, if <a href="http://churumuri.wordpress.com/2007/09/06/the-beginning-of-the-end-of-indian-science/">scientists and researchers</a> can leave our sensitive laboratories for greener pastures, what is to prevent a former bureaucrat from making the most of the remainder of his serviceable years, especially when the city of his birth needs it the most?</p>
<p>And to be fair to Puravankara, if they were smart enough (and rich enough) to hire Jerome&#8217;s services, why should it be held against them? After all, if recently retired cops can stand for elections like <strong>Subhash Bharani</strong> and recently retired bureaucrats like <strong>N.K. Singh</strong> can become &#8220;consultants&#8221; to all manner of corporates, why should Jerome not lend his services in his area of expertise?</p>
<p>If expertise is the core determinant of Jerome&#8217;s recent employment, the jury is still out.</p>
<p>Jerome was credited with designing HSR Layout&#8212;destination of the super rich and the home several of the &#8220;G&#8221; category media beneficiaries. The media went to town about the project. However, it took just one season of heavy rains in 2005 to reveal the planning that had gone into the project. BDA blamed poor designing and location.</p>
<p>OK, maybe Jerome&#8217;s expertise, like <strong>Abdul Kalam</strong>&#8217;s, is in &#8220;man-management&#8221;.</p>
<p>Still, in a City whose most prized jewel is its real estate, the fact that a BDA chief can now comfortably sup and cohabit with a high-profile developer with deep pockets&#8212;with whom he would have certainly dealt with in his four-year and nine-month term&#8212;without a single political or analytical eyebrow going up, doesn&#8217;t augur well.</p>
