<p style="text-align:justify;">In June 2009, the <a title="SEC" href="www.sec.gov/" target="_blank">Securities and Exchange Commission</a> proposed to require public companies, under certain circumstances, to include in the company proxy statement and proxy card the names of director nominees submitted by substantial long-term shareholders (generally referred to as “access to the proxy” or “proxy access”). At the same time, the SEC proposed to amend Rule 14a-8(i)(8), the shareholder proposal rule’s “Election Exclusion”, to reverse a 2007 amendment and allow shareholders to submit proposals seeking the adoption of a proxy access regime. The comment period for the rulemaking expired on August 17, 2009, and the SEC received hundreds of comment letters.</p>
<p style="text-align:justify;">Among commenters opposed to the adoption of Rule 14a-11, a common theme was that the SEC should refrain from imposing a uniform federal access procedure. Instead, these commenters urged, the SEC should facilitate private ordering to permit shareholders at each individual company to decide whether proxy access is desirable and to establish its precise contours. <title><![CDATA[Ad-Free Web Browsing]]></title>

<content:encoded><![CDATA[<div class='snap_preview'><p><a href="http://thinktechnica.wordpress.com/files/2009/11/logo.png"><img class="alignleft size-thumbnail wp-image-426" title="logo" src="http://thinktechnica.wordpress.com/files/2009/11/logo.png?w=150" alt="" width="120" height="44" /></a>You know, its been so long since I browsed the web with anything other than Firefox with the <a href="http://adblockplus.org/en/">Adblock Plus</a> addon installed that I didn&#8217;t realize how horrible the web has become lately.  Sure I do a lot of web surfing on my Android phone, but the mobile views most websites serve these days are luckily ad-free.  Or, the ads aren&#8217;t big massive Flash things that steal your eyeballs.</p>
<p>I&#8217;m trying to make the shift to Google Chrome for the simple fact that it is noticably faster and less memory hungry than Firefox.  Unfortunately the default installation of Chrome doesn&#8217;t support extensions or addons, and surfing with annoying ads is something I can&#8217;t put up with.</p>
<p>Thankfully there are always great, cheap and easy ways to do things!</p>
<p>On any corporate or medium biz sized I typically install a Barracuda Web Filter, a device that sits in the physical network at the edge between the switch and the firewall.  This way all traffic must pass through it, and I can filter HTTP and HTTPS requests without having to tweak proxy settings on all the various systems and applications throughout the building.  It is simple, effective, and in my opinion the perfect way to filter, log, and analyze web traffic.</p>
<p>For my own office though I don&#8217;t really need the powerful benefits of the Barracuda, but I still need a way to block ads and other annoying bandwidth sucking, eyeball killing web content.</p>
<p>The easiest way to accomplish this was to use my existing firewall, a small old clunky Pentium-3 PC that&#8217;s running <a href="http://pfsense.com/">pfSense</a>.  pfSense, in case you aren&#8217;t in the know, is a free firewall/router operating system that can run on pretty much any old hardware you might have lying around.  For a small operation like mine, this Pentium-3 with 384 MB of RAM is plenty, in fact high usage doesn&#8217;t even make a blip on the CPU or memory usage radar.  A network with more traffic might want to run a Pentium-4 or higher with a Gig or more RAM.  That isn&#8217;t really necessary, I used a similarly equipped Pentium-3 as the main router/firewall for a large downtown hotel (all staff and all guest traffic) and it held up beautifully.</p>
<p>pfSense has a great third party plugin community, and the very popular and very useful <a href="http://www.squid-cache.org/">web proxy software Squid</a> is just one of those plugins.  &#8220;Squid is a caching proxy for the Web supporting HTTP, HTTPS, FTP, and more.   It reduces bandwidth and improves response times by caching and   reusing frequently-requested web pages.  Squid has extensive access   controls and makes a great server accelerator.  It runs on most available   operating systems, including Windows and is licensed under the GNU GPL.&#8221;</p>
<p>Well, it&#8217;s these &#8220;extensive access controls&#8221; that I&#8217;m interested in right now.  Lets get cracking on banishing the web ads.</p>
<p>Installing it is a snap, just pick it from the list of available packages from pfSense&#8217;s Package Manager.  It installs immediately, and now appears in the menu options under Services.</p>
<p>There are a few options to check first, such as Transparent Proxy (this means it automatically filters HTTP/HTTPS requests without any other configuration on the end user side).</p>
<p>The meat of the project involves heading to the <strong>Proxy server: Access control</strong> page.  Head down to the Blacklist box, enter in a few domains, try surfing.  All you&#8217;ll get is an error message.  Perfect, this is how you&#8217;ll block ads.  You can tailer these error messages with another plugin (essentially a plugin for this plugin) called squidGuard.  This adds a great layer of customization on top of Squid, but isn&#8217;t necessary for basic page blocking.</p>
<p>Now the fun part, populating that Blacklist box with a list of ad-serving websites.  Open this doc, cut-and-paste.  The top contains some regex that should catch a ton of ads that aren&#8217;t included in the specific domains below it.</p>

<p>Don&#8217;t forget, because it is a proxy server first and foremost, it will now be trying to cache contents intelligently.  I noticed first visits to websites were a bit slower than usual, but speeded up dramatically on their second and subsequent visits.</p>

<p>Jesus! I thought I had my fill of Dubstep mixes this year, but as if posting the <a href="http://wp.me/prJ9M-16y" target="_blank">Aphex Twin Dubstep remix</a> named Dublicker wasn&#8217;t enough, this little gem peeked over the horizon, then came running up and slapped me in the face out of nowhere. Again this remix is from an unknown producer (what is wrong with these dubstep folk, don&#8217;t they want any glory?).</p>
<p>Now this is how I like my dubstep, dark and dirty with menacing overtones like a mugging is about to take place. Unfortunately the track sort of falls apart at the end but the first three minutes are brutal without being groundbreaking. Having said that Proxy&#8217;s original wasn&#8217;t exactly a fluffy little kitten, so bastardising it with dubstep is just going to end in humiliation for your ears but its well worth the listen.</p>
<p>Proxys &#8216;Dancing in the Dark&#8217; is an absolute killer tune which I would have loved to have heard live, especially after hearing the reaction from the crowd when it dropped at I Love Techno on this <a href="http://wp.me/prJ9M-11W" target="_blank">mixtape</a>. So this remix is a right little treat.</p>
<p>And because we&#8217;re so nice we threw in the original for comparison without the download link, you can go and buy it when Proxy&#8217;s album gets released soon, cheapskate. As a bonus have a butchers at the Bloody Beetroots remix of &#8216;Who Are You&#8217; which is out now.</p>

Biasanya menyediakan akses internet gratis dengan menggunakan hotspot atau bisa juga menggunakan Voucher untuk autentikasinya. Ketika membuka halaman web maka router akan mengecek apakah user sudah di autentikasi atau belum. Jika belum melakukan autentikasi, maka user akan di arahkan pada hotspot login page yang mengharuskan mengisi username dan password. Jika informasi login yang dimasukkan sudah benar, maka router akan memasukkan user tersebut kedalam sistem hotspot dan client sudah bisa mengakses halaman web. Selain itu akan muncul popup windows berisi status ip address, byte rate dan time live. Penggunaan akses internet hotspot dapat dihitung berdasarkan waktu (time-based) dan data yang di download/upload (volume-based). Selain itu dapat juga dilakukan melimit bandwidth berdasarkan data rate, total data upload/download atau bisa juga di limit berdasarkan lama pemakaian.</p>
<p><!--more-->Cara mudah setting hotspot pada mikrotik adalah ada 2 (dua) pilihan selain menggunakan teks mode kita juga bisa menggunakan setting wizard dengan menggunakan Winbox Router OS, Langkah-langkat berikut merupakan konfigurasi dasar hotspot mikrotik sebagai Gateway Server. Pertama install Mikrotik Router OS pada PC atau pasang DOM atau kalau menggunakan Rouer Board langsung aja Login = ‘admin’ sedangkan untuk pasword anda kosongin untuk defaultnya.</p>

Beberapa hal yang dapat dilakukan dalam konfigurasi hotspot user yaitu : username dan password, Membatasi user berdasarkan waktu dan paket data yang akan digunakan, hanya ip address tertentu dari ip address dhcp yang ditawarkan atau hanya mengizinkan user untuk koneksi ke sistem hotspot dari MAC Address tertentu saja.</p>

The software can be used for a lot of neat stuff, but I came across a situation where I wanted to be able to lock down access to the whole web except for a few approved sites &#8211; kind of an information kiosk scenario.<br />
</strong></p>
<h2>Assumptions</h2>
<p>I am using Ubuntu Server 9.04, which comes with Squid installed already. Apparently it is not automatically installed with Ubuntu Desktop, but it is available in the repositories and as such can be installed quite easily by:</p>
<p style="padding-left:30px;"><tt>sudo apt-get install squid</tt></p>
<h2>Configuration</h2>
<p>Once you&#8217;re set with a standard installation, edit <tt>/etc/squid/squid.conf</tt> and locate the line starting with <tt>INSERT YOUR OWN...</tt> Now, add the following lines:</p>
<p style="padding-left:30px;"><tt>acl whitelist dstdomain "/etc/squid/whitelist.txt"<br />
http_access allow whitelist</tt></p>
<p>You may want to comment out the line <tt>http_access allow localhost</tt> if you want the same rules to apply for localhost as well.</p>
<p>You can now edit <tt>/etc/squid/whitelist.txt</tt> and add domains using the following pattern:</p>
<ul>
<li><tt>example.com</tt> will add that domain</li>
<li><tt>.example.com</tt> will add example.com and all subdomains.</li>
</ul>
<p>It seems possible to be a lot more sophisticated with regular expressions and stuff, but this was good enough for me.</p>
<p>Reload the squid configuration:</p>
<p style="padding-left:30px;"><tt>/etc/init.d/squid/reload</tt></p>
<p>Error pages are located in <tt>/usr/share/squid/errors</tt> and can be customized.</p>
<p>Finally, you&#8217;ll need to configure your browser to use the proxy server. If you are running Firefox, follow these steps:</p>
<ul>
<li>From the Firefox menu, Choose Edit &#62; Preferences. Click &#8220;Advanced&#8221; and then &#8220;Network&#8221;</li>
<li>Click &#8220;<strong>Settings</strong>&#8221; and select the &#8220;<strong>Manual Proxy Configuration</strong>&#8221; radio button.</li>
<li>In the &#8220;<strong>HTTP Proxy</strong>&#8221; field enter the name or IP address of the machine running your proxy.</li>
<li>In the &#8220;<strong>Port</strong>&#8221; field enter the value 3128 and check &#8220;Use this proxy server for all protocols&#8221;.</li>
</ul>
<p>Your should now be able to visit only the sites registered in the whitelist.</p>

<content:encoded><![CDATA[<div class='snap_preview'><p>If you work with the proxy statement or other communications on executive pay, you should read the <a href="http://www.sec.gov/news/speech/2009/spch110909sp.htm" target="_blank">Nov. 9 speech by Shelley Parratt</a>, deputy director of the SEC Division of Corporation Finance, to the <a href="http://www.naspp.com/Conference2009/" target="_blank">4th Annual Proxy Disclosure Conference</a>.</p>
<p>Parratt calls on companies to improve the quality of their Compensation Disclosure &#38; Analysis sections &#8211; giving clearer, more specific analysis and better explanation of performance targets. She suggests starting over with a blank page, if necessary.</p>
<p>Mostly, Parratt&#8217;s comments offer a philosophy for disclosure on compensation. She notes that companies tend to respond with good disclosure once the SEC reviews their proxies &#8211; but don&#8217;t pay much attention if the SEC doesn&#8217;t come calling. Going forward, tangling with the SEC on the CD&#38;A could hurt corporate reputations:</p>
<blockquote><p>Any company that waits until it receives staff comments to comply with the disclosure requirements should be prepared to amend its filings if we raise material comments. Now is the time to engage in a rigorous analysis to develop meaningful, coherent and comprehensive executive compensation disclosure.</p>
<p>While the SEC staff may appear to serve as your editor from time to time, the CD&#38;A is your story to tell, not ours. Read our guidance. Read the publicly-available comment letters. Take a fresh look at the disclosure requirements. Pay attention to what the market is looking for. Your disclosure will be better if you do.</p></blockquote>
<p>Concern about pay levels isn&#8217;t limited to SEC officials and politicians with a polulist bent. Even the biggest investors can get upset about compensation &#8211; as in today&#8217;s <em><a href="http://online.wsj.com/article/SB10001424052748704533904574545981008841004.html?mod=WSJ_hps_LEFTWhatsNews" target="_blank">Wall Street Journal</a></em><a href="http://online.wsj.com/article/SB10001424052748704533904574545981008841004.html?mod=WSJ_hps_LEFTWhatsNews" target="_blank"> story</a> on mutual funds that are big holders of Goldman Sachs:</p>
<blockquote><p>Some of the largest shareholders in <a href="http://online.wsj.com/public/quotes/main.html?type=djn&#38;symbol=gs">Goldman Sachs Group</a> Inc. have urged the Wall Street firm to reduce the size of its bonus pool, arguing that it should pass along more of its blockbuster earnings to investors&#8230;</p></blockquote>

<content:encoded><![CDATA[<div class='snap_preview'><p>Caro internauta, per caso ti sei imbattuto nel sito <a href="http://www.hulu.com" target="_blank"><strong>hulu.com</strong></a> per guardare in streaming un film, un telefilm o magari un anime e ti è uscito il fatidico messaggio <em>&#8220;The requested video cannot be displayed in your region&#8221; </em>ovvero <em>&#8220;Il video richiesto non può essere visionato nel tuo paese&#8221;</em> infatti Hulu a differenza degli altri siti in streaming, trasmette film, telefilm e anime regolarmente tramite accordi con le case produttrici però può essere guardato solo da chi è residente negli Stati Uniti.</p>

<p>Allora come possiamo aggirare questa restrizione di hulu? La prima idea è quella di usare un proxy americano, ma generalmente i proxy sono di una lentezza paradossale e inoltre di solito vengono riconosciuti immediatamente dai sistemi anti-proxy.</p>
<p>Esiste però un&#8217;altra soluzione, che fino ad ora ha sempre funzionato anche con Hulu; usare una connessione <strong>VPN</strong> (Virtual Private Network) con ip americano.</p>
<p>Direttamente da wikipedia:<em>&#8220;Una Virtual Private Network o VPN è una rete privata instaurata tra soggetti che utilizzano un sistema di trasmissione pubblico e condiviso come per esempio Internet. Lo scopo delle reti VPN è di dare alle aziende le stesse possibilità delle linee private in affitto ad un costo inferiore sfruttando le reti condivise pubbliche.&#8221;</em></p>
<p>In genere le connessioni VPN sono a pagamento, ma oggi esistono dei network gratuiti e uno di questi è <strong><a href="http://www.hotspotshield.com/" target="_blank">Hotspot shield</a></strong>, un programmino free che una volta installato e aperto ci installa una connessione VPN e ci genera un indirizzo ip statunitense. Una volta installato e connesso il programma, <strong>cancelliamo dal browser cronologia, cache e cookie</strong> (in particolare questi ultimi visto che hulu li installa e quindi se non li cancelli verrai riconosciuto dal sito che non sei residente degli Stati Uniti).</p>

<p>Sei hai fatto tutto bene vai sul film che ti interessa e potrai guardarlo in santa pace! <img src='http://s.wordpress.com/wp-includes/images/smilies/icon_wink.gif' alt=';)' class='wp-smiley' /> </p>
<p>Ovviamente la connessione VPN non andrà veloce come la nostra ADSL, ma neanche tanto lento, anzi và anni luce meglio dei proxy, ti do però un consiglio, quando parte il video metti pausa per almeno 10-20 secondi in modo che il video non vada scattoso.</p>
<p>A volte può capitare che Hulu riconosca il VPN, in quel caso cancellate di nuovo tutti i cookie e chiudete e riaprite il programma di modo che vi generi un nuovo indirizzo ip.</p>

<content:encoded><![CDATA[<div class='snap_preview'><p>Heya. This is another perl project, and it might be handy. If you use the internet a lot, you may eventually build and save huge proxy lists. The problem is, and this is especially true if your list consists of free proxy servers, the number of servers going on and offline all the time is really high, so sometimes it can be annoying to find a good working one. This is what this tool&#8217;s for. It&#8217;ll read a proxy list containing IP:PORT pairs and try a connection on each of them, for a specified number of seconds. If the timeout is reached, the proxy is considered temporarily dead and isn&#8217;t logged. If it connects, the program prints out the pair and logs it to the updated list. The list contains the date and time of execution within its file name. The bigger the proxy list the better, for obvious reasons, but you shouldn&#8217;t delete the original one after running a check. Proxy servers may spring back to life after a little while, so it can&#8217;t hurt to just leave them all there in the original list.</p>
<p><strong>The Code</strong></p>
<p>Modify this to your liking, it&#8217;s simple and straightforward. It&#8217;ll spawn 1000 (woot!) threads per &#8220;round&#8221;, which will each try to connect to a server socket (the proxy server). Change this if you like. Here it is:</p>

<p style="text-align:justify;">One of the fundamental tenets of market capitalism is the freedom of willing buyers and willing sellers to transact business. Ironically, this basic rule does not apply in the world of corporate mergers and acquisitions. Because of so-called “poison pills,” corporate mergers and acquisitions effectively require the support of the target company’s board of directors. Based on massive value losses from withdrawn tender offers a result of poison pills in the last few years, we suggest that it is time to revisit the broad judicial deference that has allowed directors to use poison pills to stand between bidders and stockholders indefinitely.</p>
<p style="text-align:justify;">Poison pills emerged in the 1980s as a solution to corporate raiders use of “two-tiered” tender offers to coerce shareholders into tendering their shares for unfair prices. In <em><a title="Moran v. Household Int´l Inc." href="http://law.vanderbilt.edu/faculty/thompson/corpcasebook/moran.htm" target="_blank">Moran v. Household Int’l Inc</a></em><a title="Moran v. Household Int´l Inc." href="http://law.vanderbilt.edu/faculty/thompson/corpcasebook/moran.htm" target="_blank">.</a>, the Delaware Supreme Court upheld directors’ power to use this powerful defensive device, but with conditions. The Court seemingly tied its validation of the poison pill on two points: (1) a board’s decision to keep a pill in place is always subject to fiduciary duties (and therefore open to judicial review) and (2) if shareholders do not like how a board is using the pill, the shareholders preserve their ability to remove the directors from their jobs by running a proxy fight&#8230;(<a title="Article" href="http://blogs.law.harvard.edu/corpgov/2009/11/18/the-wrong-prescription-revisiting-the-justification-for-poison-pills/" target="_blank">continue reading</a>)</p>
