All-out success continues for all-in-one Sigma communications platform. Tellumat’s success with the

All-out success continues for all-in-one Sigma communications platform.

Tellumat’s success with the Sigma communications platform for small and medium-sized enterprises (SMEs) continues, as Vodacom Business signed to include the device in its SME Business Bundle.

Distributed in sub-Saharan Africa by Tellumat Telecoms, the Sigma has enjoyed critical as well as popular acclaim, notes Bennie Langenhoven, managing executive for Tellumat’s Telecoms and Technology Group business units.

In the UK, it has been used by BT to spearhead its SOHO (Small Office Home Office) broadband push. Locally, major network operators and broadband providers including Vox Telecom and iBurst have all agreed to market it to their customer bases.

And Gadget magazine (gadget.co.za) endorses the Sigma as putting small businesses on an equal footing with big companies, given the sheer wealth of converged communication functionality it gives them, affordably and with consummate ease of implementation and use.

Converged services in a box

Ermano Quartero, managing executive of Vodacom Business, says the role of the relatively new business unit within the mobile operator is to take it beyond mobile network services and into full converged telco service provision. It offers a full range of solutions ranging from customer equipment, last-mile fibre access to hosted applications, for SMEs right up to enterprises.

“The Tellumat association is key for us,” he continues. “They supply us with a platform that is vital to our mission, as regards SMEs.”

The Sigma will be re-branded as the Vodacom Business PBX and forms the core PABX and Internet gateway component of Vodacom’s SME Office Bundle, which will also include last-mile Internet access, phone handsets and application hosting.

Rigorous tender

Quartero says Vodacom went through a rigorous tender process. “We chose Tellumat for its credibility in the market, its local support, and of course this device. Everything Tellumat stands for and offers conformed to our requirements. We are pleased to note that their device is also the choice of our parent company in the UK, Vodafone.”

He adds the value of the Tellumat platform goes beyond the product-specific plaudits it has attracted. “Bundling allows us to offer easy monthly subscriptions, ranging from R1500 per month for a basic package to R3000 for the high-end package.”

The basic package includes 5GB of high-speed ADSL or WiMAX data access, Hosted Exchange and SharePoint Portal Services, a router and analogue as well as IP voice. The high-end subscription offers 10GB of data and more handsets.

A winner

“We know it is a winner and are hoping for an enduring relationship,” Quartero adds. “Based on how successful it is exactly, we may offer bigger SME packages based on the same hardware, or other hardware from Tellumat.”

He says Vodacom Business may further extend the bundle to smaller business customers or the home office market segment. “And as soon as we have traction in South Africa, we may take similar bundles to selected African markets, customised for local conditions.”

Langenhoven says the Sigma has spurred continued success for Tellumat, despite the recession. “Our aim is to continue to find the most enabling technologies at the best price for our customers and partners, contributing to the success of all concerned.”

WHAT IS CLEAR? Clear is a Wireless Mobile High Speed Internet Delivery Company that is the next form

WHAT IS CLEAR?

Clear is a Wireless Mobile High Speed Internet Delivery Company
that is the next form of communications to hit the market. It is
owns the rights to a technology called Wimax. Clears Services are
deployed over an ever growing network of pre –existing cell phone
towers. Each tower emits an overlapping WiMax Signal to provide
users under that signal a rich high speed mobile internet
experience.

Clear is 51% owned by Sprint Nextel and is being implemented over
their cell phone towers as we speak. More than 80 new markets like
Atlanta, Chicago, and Dallas are some of the markets already
online. Some of Clear’s Partnerships include: Google, Intel, Bright
House Networks, Motorola, Comcast and Time Warner.

Currently the Federal Communications Commission has pledged to

“Unleash” 4G Mobile Broadband Spectrum said TG Daily and The
Federal Government has set more than $7 billion in the
Broadband Recovery Act to assist in the development and
deployment of this new high tech grid. Do to the growth of new
Green Jobs and the capabilities as a low cost global communications
tool.

WiMax Nation and PC Tech are qualifying new Authorized Dealerships
to help spread the word and earn sales commissions while doing
it.There is no cost to become a dealer, however we do encourage the
use of the service for demo purposes.

As a Clear authorized Dealer you will be able to offer the services
as well as grow a team of Dealers under you. As you take our
classes you will learn how to offer Clear. You will also learn how
to create, grow and support your team as they go out and offer this
service to others.

You will earn 50% of the commission they earn while offering the
service. For Example when you sell the Mobile and Home Combo
Package (Pick 2) as a service, you will earn $180.00

If one of your team mates sell that same combo, you will earn
$90.00

There are only 2 levels…You and Your Team.

The type of customers we can sign up as dealers are Non-Profits
like a church and Retailers like coffee shops that offer WiFi.

We also can offer our services to Municipalities like Police
Departments and School Systems. I have even signed up Apartment
Complexes and Rent to Own Stores.

Each time they buy or offer you will receive commissions. It is
very easy to get started.

We have 2 ways.

1. Online: Just fill out the online form below and request your
dealership application. We will email it to you. Then just mail it
back to our offices. We will work with you as an individual online
to get you set up and trained. This may be the fastest way to get
started. You can get started right now this way. You will not be
able to sell until we receive your written application in the mail.
Or you can scan your signed application forms and email them to our
offices and we will add you even faster. After review we will send
you a user name and password for your account via return email.
We will then train you over the phone and online.

2. If you are in the Atlanta area you can attend one of our New
Hire Classes. We will assign you a Clear Authorized Dealer’s ID and
teach you all the in’s and outs of how to offer this to your
contacts.

Classes are limited so if that is what you want to do please RSVP
at http://TheClearNetwork.ning.com

I hope this explains the opportunities Clear is offering. I have
been with them since July and have not had a week without earning a
great pay check.

Please feel free to call me anytime with your questions and I will
be very glad to help. I hope to see you on our team soon.

Naturally these cities represent areas where Clear service is also available (TWC is a reseller), but if you’re looking for the quad-play bundle, then joining up through your cable provider is the way to go.

Serendipitously, my family is planning a trip down to North Carolina in mid-December – hitting the Raleigh/Durham area first, and then Charlotte. I’ll take along my WiMAX USB adapter (for test purposes, of course) and report back from the road. Meanwhile, as I mentioned earlier, there’s a next-gen version of the Motorola adapter coming out before the end of the year. That’s an updated pic you see to the right.

With the Sprint-Nextel merger reportedly off the table, Deutsche Telekom (DT), T-Mobile U.S. parent

With the Sprint-Nextel merger reportedly off the table, Deutsche Telekom (DT), T-Mobile U.S. parent company is seeking partners to help finance its network expansion. T-Mobile is building out its 3G network with plans to upgrade its network to HSPA+ to handle the burgeoning growth in mobile data.

The German telecom giant is reporting looking at AT&T Mobility, Clearwire, and MetroPCS as possible partners – at first blush, the obvious choice is AT&T as both have the same GSM technology and seem to be migrating to 4G along the same path. On the flip side, both Clearwire and Metro PCS are potential partners due to significant spectrum holdings; technology issues may preclude the latter 2 as Clearwire is using WiMAX and MetroPCS CDMA which aren’t compatible with T-Mobile’s GSM/EDGE/HSPA+ network infrastructure. The view that DT may be using Clearwire and MetroPCS spectrum to build out it’s 4G network and it’s deep pockets may just make this a reality.

All of this comes on the heels of Q3 results showing T-Mobile further losing ground to Verizon, AT&T, and Sprint, with their struggles more apparent with losing 77,000 subscribers in the quarter; DT isn’t known for sitting idly by while they lose market share, so expect something to transpire soon.

T-Mobile is banking on new, low-cost, unlimited plans plus new Android smartphones such as the Motorola Cliq to stem the losses; will it be enough to get them competitive with the other, much larger competitors?

24/7 Wall St. sat down with Dan Hesse, CEO of Sprint Nextel (NYSE:S) to talk about the company

24/7 Wall St. sat down with Dan Hesse, CEO of Sprint Nextel (NYSE:S) to talk about the company’s current subscriber growth issues, the firm’s WiMax roll-out, and the future of broadband telecommunications.

The interview:

24/7 Wall St: It’s obvious that Wall Street’s perception of Sprint has changed markedly in just the last week, and obviously you all have watched that. Are there one or two things that you think have changed in terms of perception in the direction of what’s going on in the company that were not as easily visible before?

Hesse: Well I can’t speak for why the shares have gone up in the past week. What I will say is that I hope that investors have seen continued improvement at Sprint in terms of the customer experience. We’ve reported seven consecutive quarters of improved customer satisfaction, improved first-call resolution, improved customer satisfaction at retail, improved network performance, so an overall improved overall customer experience. And the past quarter, the 3rd quarter, we saw the largest sequential improvement in gross adds, which is the industry vernacular for new customers, since we’ve been keeping records, which is over 5 years. So perhaps these are being noticed by the Street. In addition, as you know, we recently bought down another $1 billion of Sprint debt, which perhaps is viewed as increasing confidence in our ability to generate free cash flow and improve the balance sheet.

24/7 Wall St: One of the things that I’ve seen in writing, and I wanted to get your reaction to this, there’s certainly a perception that you make more money per customer than your major competitors in terms of the data that people use from their phones to the people they’re talking to or doing business with. Is that a fair perception?

Hesse: We have a higher average revenue per user that is attributed to data. And Sprint has been effective at attracting customers that want to use their phone for more than just voice. So we have very simple pricing plans, like Simply Everything which we introduced in the 1st quarter of 2008, and our Everything data plans have recently been enhanced by adding Any Mobile Any Time to them so that the data-centric customer who’s looking for a great 3G network, as you know we have the most dependable 3G network, we have the first 4G network, and we have very good rate plans for those data and text-centric customers that we tend to attract. And as a result our ARPU, or average revenue per user, that is attributable to data for our CDMA customer base. We have two networks. We have a CDMA and we have an iDEN network. But the customers that go to the CDMA network are very heavy data users so we do have the highest average revenue per user among those customers in the industry.

24/7 Wall St: I suspect that if we asked 99 out of 100 analysts and institutional investors what they think will be the tipping point for Sprint, it will be when you start to add subscribers the way that AT&T (NYSE:T) and Verizon Wireless NYSE:VZ)(NYSE:VOD) have. Do you have a feel for when that may start to happen or what the triggers are for that?

Hesse: Our focus is on increasing revenue and getting to the point where our revenues as a company grow. We have post-paid wireless customers, pre-paid wireless customers, wholesale wireless customers, and then we also have a wireline division. We have made a lot of progress in growing our pre-paid customer base this year in 2009. As a matter of fact in the first three quarters of 2009 we’ve added 2.1 million net adds, or net new subscribers in pre-paid, which is more new customers than any U.S. pre-paid provider added on all of 2008. On the post-paid side, we are still lose losing customers, but at an improving rate. We’re losing fewer customers than we have in previous quarters, which we believe is attributable to the fact that we’ve improved customer service and network quality immensely. We do have a goal of getting to total subscriber growth. We want our customers to choose what is the best rate plan or service for them. For some customers, they prefer prepaid which means there is no contract. And some customers prefer post-paid, where they get a subsidized phone and in exchange they sign a 2-year contract. We want the customer to make that choice. And I think that the Street sometimes can tend to over-emphasize one area over another. We tend to take a more balanced view. So the appropriate way of looking at our turnaround is total revenue. And that is still declining, but we do have clear goals to get that moving in a positive direction.

24/7 Wall St: so just as a quick follow-up, the notion that adding a 1 or 1.5 million net total subscribers every quarter is an incredibly important benchmark for you or any or your competitors is somewhat overstated?

Hesse: No I think the way look at it is that you have to walk before you run. For us the goal is to grow revenues. And whether that comes from post-paid subscribers of pre-paid subscribers isn’t the issue a much as just growing the revenue stream. So we do have a goal to grow and obviously the more the revenues or the more new subscribers you’re adding the better. Your question may have been is there a particular number of subscribers that you’ll guide to as a goal going forward. And our number one goal is to get to revenue growth. And later on perhaps we’ll have goals around the particular number of subscribers that we’re growing. But right now our pre-paid business is growing subscribers in a very healthy way. We need to get where the combination of our pre-paid business, post-paid business, our wholesale customer base, as well as our wire line business are working together to growth the overall revenue stream?

24/7 Wall St: You’re currently building out your WiMax network with your partner Clearwire (NASDAQ:CLWR). At what point will you be able to aggressively offer that service in the top 20 markets, be able to really market it throughout that area?

Hesse: Well, it takes a while to build a national 4G market. Our target is to have 25 markets, not the top 25, but 25 markets covering 30 million people operating by then of this year, 2009. And 80 markets, covering about 120 million people, which will cover most of the major markets by the end of next year, 2010. This year we’ve already launched Chicago, Philadelphia, Portland, Dallas, Ft. Worth, Atlanta, Las Vegas, very major markets. And of course there are very big markets planned for launching in 2010. And as we get more markets build it becomes easier to market 4G because the national coverage gets better. Because it does take a long time to build a national 4G footprint, very much like we did when we built 2G and when we built our 3G, we’ll offer dual-mode devices that operate on the existing large coverage network that we have in 3G. We have a very large 3G network at Sprint, 14 times larger than T-Mobile’s for example. So our devices will operate on 3G and also 4G so that if you happen to be in a market or location where 4G isn’t built out yet it will downshift, if you will, to 3G. So we have begun marketing Sprint 4G services in the markets that indicated have already been launched this year, in 2009. But you’ll be seeing much more market of 4G services in 2010 as we get more of a critical mass of markets. And again by the end of 2010 our goal is to have 120 million what we call pops covered, which is equivalent to 120 million people that could get the service if they choose.

24/7 Wall St: Your partner Clearwire obviously just got a new round of funding. Is there any assumption that gets them to profitability or is the assumption that just in essence gets them more runway as you build our WiMax?

Hesse: Well I’ll let Clearwire, which is a separate public company, talk about what the funding means. It depends upon how rapidly Clearwire builds out the network. The more rapidly they build out the network the more likely they are to need funding to build it out more aggressively before the revenue comes in from new customers. So it is a corporate decision that Clearwire makes on whether time the funding of capex investment or market expansion with revenues coming in, which would mean they may not have to go out and get additional funding, or if in fact they intend to aggressively build out the network so that the cash or capital requirements go out before the revenues come in, which would mean they would need to raise additional capital. But there is a significant likelihood that Clearwire would need to raise additional money, whether that be debt or equity, in the future.

24/7 Wall St: how important in terms of picking up net new customers that WiMax is being deployed well ahead of the LTE technology that people like AT&T and Verizon will offer?

Hesse: We think it’s quite important, because as opposed to any other new generations of wireless technology where it took a while for the market to develop, because the applications needed to developed. 3G is a good case and point. 3G technology was available really before a lot of the applications where there, and on the network side available before the devices for 3G were out on the markets place. The beauty of 4G is that in a very short period of time data growth has exploded on the mobile networks. A lot is being written about, for example, AT&T’s network not being able to handle the heavy data users on the iPhones. So need for additional speed and capacity on the wireless networks is there, that’s number one. So the applications don’t need to be developed; it’s not like we’re waiting for those to come. Secondly, we’re not really waiting for the new 4G devices to come either. Because with what we call a MyFi, we offer a 3G MyFi which is like a small wireless router that’s about the size of a thick credit card, the 3G versions. And we have a 4G version that operates on 4G and 3G that’s larger, but the size will come down over time. This means that anything that anything that I have has WiFi on it can be a 4G device. So any of my 3G or 2G cell phones that have WiFi can operate at 4G as long as I have one of these mobile hot spots with me. So can my MP3 player, or my iTouch, or my gaming device, or my camera, or my video camera, or my PC, or my netbook. These can all be mobile 4G devices as long as they have WiFi on them because what these small routers do is they take that WiFi signal from all these devices that are out there on the market today that I’ve just described, and it goes WiFi to this mini-router and then 4G, or 3G depending on what’s available, out to the internet. So the hot spot now is no longer the size of a WiFi hot spot, no longer the size of a coffee shop or your apartment, but it’s the size of the entire city. So both the applications are there and the devices are there for 4G now. So we can take real advantage of time-to-market advantage for 4G. So we think it will make a very big difference to be first to market.

24/7 Wall St: Is WiMax, once it’s broadly distributed, a fast enough technology so that it will actually compete with wired broadband to the home. So as an example could there be a set-top box that in essence operates wirelessly that allows for broadband and TV to come in the way they might with cable or fiber now?

Hesse: Well there are landline technologies that are capable of faster speeds than wireless 4G, like WiMax. WiMax of course is theoretical capable of going at 40 megabits per second and is faster, but that in the real world with the number of users sharing bandwidth thing of something more in the range of 4 megabits per second, maybe 5 megabits per second, as being the kinds of speeds that customers might expect on 4G. It will compete very effectively against, from a speed point of view, with DSL. There are cable modem speeds, and as you mentioned fiber, that are capable of going faster than that. The real question is from a price performance perspective, if I’m a customer and I have 4G service available at let’s say 4 megabits per second, that’s very fast for most applications. Is it worth it to also buy a landline on top of that, because we believe that everybody will want to have and need to have that capability from a mobile point of view. So the real question is “is it worth the extra money when I’m home to buy another subscription to another service to get what could go faster?”. So the question is a good one. There will be landline solutions available to everyone that’s within service range, because everybody can’t get high-speed cable modem service for example, or fiber service like a Fios or a U-Verse. They may not have that available to them. But those services are capable of even faster transmission speeds than wireless 4G.

24/7 Wall St.: Thank you.

I am writing this from my bedroom. I have no idea whether I am going to be able to upload this online – so far my attempts to upload using the password “hotel1” have failed, so it may well have to wait for my return. Funny to have connections problems when the research says that Pakistan has the biggest WiMax network in the world. I guess no-one has switched it on yet. It’s the communicators wet dream – the big red switch that opens up global communications…TURN THE WIMAX ON.

I thought I would share with you some glimpses of my ride back from the airport in Rawalpindi. Just a couple of average street scenes. No dramas, no speeding, no jams. Although I do love the image of the guy using his mobile phone on the road side as he tries to mitigate for the breakdown of his rather ornate vehicle.

The drive back was fairly dull – and try as I might to capture the dramas of the city out the window of the rather imposing bus I was travelling in, the dramas didn’t exist, and it was a fairly mundane event. I blogged briefly before on my feelings that Islamabad is not the heart beat of the nation. As every day goes by I am more inclined to believe this. It’s more of a dull pulse. I did go a to two separate French restaurants two days in a row – which unsurprisingly still produced no dramatic revelations. French food was certainly not my choice – oh to ramble alone – but Nomadic has company this time.

The climate is sunny but tepid, still and fresh. The streets are laden with security guards exercising their biceps by lifting ropey barriers. Eagles circle and crows murder, but nothing really seems to happen.

The most exciting development was discovering that the streets are edged with wild marijuana. Begs the question why everyone isn’t more stoned. And very late last night I spotted a rather brusque looking porcupine. It looked like a character from “The Village”, and was the size of a Labrador, and merrily ambled on during closer inspection.

I really hope to report more next time, but one thing is clear in my mind – I want to come back. To explore this nation beyond the bland capital, come mountain or valley (both plentiful), come rain or shine – I want to know more.

As we slump over our cornflakes browsing a “newspaper” in the future (my bet is it keeps

As we slump over our cornflakes browsing a “newspaper” in the future (my bet is it keeps the term in the same way “video” has), how will it be reaching us? On our mobile device via 3G data? Using a Wifi connection? Or with a new adaptation: 4G, WiMAX, or even LTE?

Today WiMAX and LTE (Long Term Evolution) technologies are commonly spoken of with the same sweeping breadth as the digital coverage it hopes to attain. So it can be tricky to get a definitive handle on precisely what they are, how they’re being used and what we hope to achieve with them.

This was what I hoped to address by attending Wednesday’s WiMAX event at City University, London.

Jointly hosted by the MDA and the DCKTN (Digital Communications Knowledge Transfer Network), the line-up included a number of speakers who have been working at the coalface of these technologies for a number of years. Their full presentations can be accessed via the secure members area of the MDA site.

WiMAX Network Operator, Freedom4 opened with a number-heavy discussion of today’s 4G network and how it impacts the speed of CDMA and OFDMA data transmission through Mobile WiMAX, IMT-Advanced and LTE, amongst other media.

Graham Currier described WiMAX as a purpose designed high capacity mobile data access technology, taking advantage of Internet Protocol network scaling, flexibility and low cost.

Graham MacDonald of Intel, who make the enviable claim of being The World’s Largest Semiconductor Manufacturer, outlined the global WiMAX ecosystem.

With eleven globally dispersed Test Sites, Intel is supporting ubiquitous broadband coverage with a preference for today’s 4G, because LTE is not commercially available and won’t be for another two to three years.

Around 500 WiMAX trials and commercial deployments are currently in place across 141 countries in the world, whereas there are no LTE commercial deployments at all.

Spectrum, Intel believe, is the true enabler of a wireless broadband world.

Milton Keynes Council assigned Connect MK with the mission to raise active broadband use from 60-65% in 2007 to over 90% by 2010/11 through broadly enabling access to PCs and broadband. Adepteq, the company behind Connect MK, persuaded Microsoft to produce a Social Software Licensing Model which has led to PCs being loaded with a fully licensed operating system and loaned out at £1.50 per week. Freedom4’s widespread WiMAX solutions enable the service’s users generous connectivity.

Next up, WiMAX network operator, Airspan – a founding member of the WiMAX forum, explained how WiMAX might not be perceived as a 4G technology. And how you might argue that nothing is. It extolled the virtues of next generation technologies converging and accommodating both data and voice services for the masses.

How? Obviously by using Airspan’s cutting edge products.. Its smart applications included machine-to-machine communications, which will become increasingly topical with the approaching smart metering juggernaut, and embedding WiMAX inside devices such as cameras and Sat-Navs.

While the level of audience interaction, extended debate and conjecture was encouraging for the space, it also suggested many competing viewpoints in a space where assertive direction is needed for significantly progressive infrastructure.

Nobody really knows how these technologies and robust infrastructures will develop in the coming years, or how much cash is available to develop them. Or how much of a priority they really are. I left the event with more questions than answers.

- Will the development of voice technologies through LTE have the edge over data and WiMAX?
- Can WiMAX pilot projects encouraging digital social inclusion in marginalised areas, be transposed into larger cities?
- Or do they benefit from more flexible infrastructures allowed by unique, arguably anomalous locations such as the UK’s new town, Milton Keynes?
- Is consumer WiMAX more of an immediately compelling proposition for remote towns and islands than it is for large cities?

These were slightly narrower questions than those which I entered with: the sign of an informative and engaging event.

Sprint (s S) held a happy hour last night to show off the WiMAX launch in here Austin, Texas, so I wandered over for some BBQ and broadband. I want to love WiMAX, but I can’t get excited about the promise of upload speeds of some 400 kilobits per second, which are only a wee bit more than what my Verizon (s vz) 3G connection delivers. However, on the download side things are decent for a wired network and awesome for a wireless one.

And before any WiMAX boosters despair, I was told that the local 4G network should continue to improve over the next few weeks, which is why I’m holding off on an all-out review. For a sneak peak, check out the experience in the video below. You can see some freezing in the Hulu video stream during the demo; John Taylor, the Sprint spokesman I interviewed, said the location we were in had only two bars of coverage, which may have been the problem. Given the paucity of devices on display for mobile use and the lackluster network quality so far, I’m still thinking the bet that Clearwire (s clwr) (which is powering the 4G part of the Sprint network) and Sprint made on WiMAX is a bad one, but I’m hoping to be proven wrong.

8 novembre 2009
Aree industriali e banda larga.

Currently Sprint doesn’t support a USB modem for Macs (but I’m assured that one is coming, likely in time for the holidays), which means I need a PC to activate my modem on. But then I can use a personal hotspot product that converts the WiMAX signal to Wi-Fi to test it out on my MacBook (and iPod Touch)! So send me your questions, concerns and anything else WiMAX-related, and I’ll try to address them or get them answered. Personally, I want to see if this is something I could replace my wired connection with, or if it’s really just what I’d use instead of my 3G MiFi while I wait for LTE.

Nov 13, 2009 (Close-Up Media via COMTEX)

Clearwire announced that it has executed a definitive agreement to raise $1.564 billion in new investment capital from Sprint Nextel, Comcast, Time Warner Cable Inc., Intel, Eagle River Holdings and Bright House Networks in exchange for newly issued shares priced at $7.33 per share.

“This additional level of strategic funding marks another important milestone in the progress of Clearwire, and will enable us to maintain our leadership and aggressive 4G WiMAX network build plans,” said Bill Morrow, CEO of Clearwire. “Today’s news is also further validation of the importance of our 4G network to our strategic investors. We all benefit from this robust, all-IP, high-bandwidth network that delivers an unmatched combination of Internet speed and mobility.”

Morrow said, “While we are very pleased to have every one of our investors, we are particularly pleased and honored that Sprint Nextel, Comcast, Time Warner Cable, Intel, Eagle River and Bright House Networks have decided to provide this additional round of strategic financing. Together, we share a common vision of providing consumers and businesses with a new category of Internet service capable of meeting the growing demand for mobile data.”

Participants in the new round of equity financing include Sprint Nextel for $1.176 billion, Comcast for $196 million, Time Warner Cable for $103 million, Intel for $50 million, Eagle River for $20 million and Bright House Networks for $19 million. Closing of the equity financing is subject to certain closing conditions, including, with respect to a portion of the financing, the lapsing of the time period required under applicable law for the effectiveness of the stockholder written consent approving the transactions, which has been executed. Clearwire will receive approximately $1.057 billion in cash from the equity financing within five business days, $440 million in cash will be funded at a closing which is targeted to be completed by year end 2009, and the remaining $66 million will be funded at a closing which is targeted to be completed during first quarter 2010.

The investors in the financing round will receive newly issued Class B Units/Class B Shares, which will maintain pass through tax treatment for their investments. Newly issued Class B Units/Class B Shares will have the same economic and voting rights as existing Class B Units/Class B Shares and equivalent voting rights as existing Class A Common Stock.

Clearwire also announced plans to launch an offering for a minimum of $1.45 billion in new Senior Secured Notes with net proceeds to be used to pay off the company’s existing $1.40 billion credit facility. The Senior Secured Notes will be offered to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to non-U.S. persons in accordance with Regulation S under the Securities Act.

Sprint Nextel and Comcast, which are debt investors under Clearwire’s existing facility, have agreed to receive replacement debt on the same terms as the new offering, effectively allowing Clearwire to raise an additional $240 million in capital assuming the new notes offering is fully subscribed. Although specific terms are still to be finalized, the new debt offering is intended to better several of the Company’s existing credit terms by extending maturity and establishing a fixed interest rate. In addition, with an improved capital structure the Company expects to expand its future borrowing capacity.

It’s available in some areas right now. It will be available for the Seattle market on Dec. 1 2009. I’m looking forward to see how this will roll out.

(Riev)
